You do not have a “cap table vibes” problem. You have people who own a US LLC, a private agreement that may be silent, and banks that will ask who owns 25% or more the next time something changes. Here is the non-resident path for adding or removing an LLC member in 2026.
Founders try to solve membership with a Slack message and a new Stripe login. The company still has an old ownership schedule. The bank still has the old beneficial-owner list. The departing founder still appears in PDFs you emailed six months ago. That mismatch, not nationality, is what stalls reviews.
At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware. We are not a law firm and not a tax advisor. This guide is educational only. It is not legal or tax advice. Tax treatment is a separate question; talk to a qualified tax professional.
Short answer: Read the operating agreement’s admission and transfer clauses, get the required consents, update the membership schedule, and only then refresh bank and payment-processor ownership disclosures. Delaware’s public Certificate of Formation generally does not list members, so a member change is usually not a Certificate of Amendment problem. Keep passports and percentages consistent across every KYC pack.
Member versus manager versus signer
Plain English first.
Member means an owner admitted under the Delaware or Wyoming LLC statutes and your agreement. Members hold economic rights and whatever voting rights the agreement grants.
Manager means a person with management authority in a manager-managed company. A manager may or may not be a member.
Bank signer means someone the bank authorised on the account. That is a banking permission, not an ownership interest.
You can add a signer without adding a member. You can admit a member who never touches the bank. Mixing those ideas creates accidental co-founders or accidental lockouts.
Start with the operating agreement
Before anyone wires money for “sweat equity,” open the limited liability company agreement. Look for:
- How new members are admitted (unanimous consent, majority, manager approval).
- Whether transfers of interests need consent or a right of first refusal.
- What happens on voluntary withdrawal, death or deadlock.
- Whether interests are certificated or purely scheduled percentages.
If you never signed an operating agreement, you are relying on statutory defaults and informal emails. That is a fragile place to add a third passport. Write the agreement, then change membership. Companion reading: How to write an operating agreement for a US LLC.
The practical admission sequence
- Agree economics in writing. Percentage, capital contribution, vesting if any, and what happens if someone stops working. Vesting language belongs in the agreement or a separate award agreement, not in a chat log.
- Obtain consents the agreement requires. If the agreement says all members must consent to admissions, collect signatures dated the same day as the amendment to the schedule.
- Amend the membership schedule. Attach an updated exhibit listing legal names, addresses you will reuse on KYC forms, and percentages that add to 100%.
- Issue whatever evidence your agreement uses. Some companies keep unit ledgers; others keep percentage tables. Consistency beats ceremony.
- Update the people who underwrite you. Bank beneficial-owner forms, Stripe ownership fields, and any exchange that already KYC’d the company.
Do not announce the new co-founder on a landing page before the schedule is signed. Marketing is not admission.
Removing a member
Removal is harder emotionally and legally. Paths differ:
- Transfer of the interest to remaining members or a buyer under the agreement’s transfer clause.
- Redemption by the company if the agreement allows.
- Dissociation events defined in the agreement or statute.
Get counsel when the departure is contested, when IP assignment is unclear, or when the departing member controls a wallet seed that also pays contractors. This guide assumes a cooperative exit.
Paper the exit with:
- A transfer or redemption agreement.
- An amended membership schedule.
- IP and account-access handover (repos, domains, bank admin, processor admin, cloud bills).
- A board or member consent if your agreement needs one.
Then remove the person from bank ownership disclosures if they fall below the beneficial-owner threshold, and from admin roles even if they were never an owner.
Do Delaware or Wyoming need a state filing?
For a typical Delaware LLC, members are not listed on the Certificate of Formation. Changing members is therefore usually an internal governance event, not a Certificate of Amendment. File an amendment when you are changing something the public certificate actually states (commonly the legal name), not as a superstition for every ownership tweak.
Wyoming Articles of Organization likewise are not a substitute for your private ownership ledger. Unless a specific filed particular must change, focus on the operating agreement and KYC refresh. If your facts are unusual (for example a filed statement that somehow recited members), read the current form instructions or ask counsel before paying an amendment fee.
Banks and processors: the 25% reality
Mercury’s public help centre states that beneficial owners are individuals who directly or indirectly own 25% or more, and that you must also identify a control person with significant managerial responsibility. Mercury supports multi-member LLCs and requires identification for owners at that threshold. Approval is always Mercury’s decision.
Stripe’s documentation describes ultimate beneficial owners for many businesses as individuals with significant ownership, commonly framed around a 25% stake or control, and requires collecting and verifying those people. When ownership changes, expect the processor to ask for updated information.
Practical rule for remote teams: if someone crosses or leaves the 25% line, budget a KYC refresh the same week you sign the membership amendment. Waiting until payouts freeze is how foreign founders lose a month.
What OtoCo can and cannot claim here
OtoCo forms Instant Series and Standalone Delaware and Wyoming LLCs and helps you keep a document-oriented company layer. Co-owner invite flows are not advertised as OtoCo MCP tools. Do not wait on an assistant chat to invent a member. Use signed consents and schedules, store them with your company records, and refresh third-party KYC yourself.

Document pack to keep ready
- Signed operating agreement plus amended schedule.
- Consents admitting or removing the member.
- Government IDs the bank or processor will accept for owners at threshold.
- Formation certificate (unchanged unless you also amended the public name).
- A one-page ownership chart dated the day of the change.
That pack is what proving LLC ownership for banks is about in practice.
FAQ
Can I add a member with only a handshake?
You can create a dispute that way. Admission should follow the agreement’s consent rules and a written schedule. Handshakes do not satisfy KYC.
Does removing a member dissolve the LLC?
No, not by itself, while at least the required membership continues under your statute and agreement. Dissolution is a separate process.
Someone owns 10%. Do they appear on Mercury’s beneficial-owner list?
Mercury’s published threshold focuses on 25% or more, with a control person also identified. Always read the current application questions; when in doubt, ask the bank’s support docs, not a Twitter thread.
Do I need a Certificate of Amendment to add a co-founder?
Usually not for Delaware-style LLCs whose certificate never listed members. Update the operating agreement and KYC forms instead.
What about tax forms when members change?
Tax treatment is a separate question; talk to a qualified tax professional. This guide stays on legal and operational setup.
Closing
Membership changes are consent plus paperwork plus KYC, not a vibe shift on the About page. Paper the schedule, then update every underwriter that already trusts the old story.
