You do not have a “rebrand mood board” problem. You have a legal name on a state record that no longer matches the company you are shipping. Here is the non-resident path for changing a US LLC’s name in 2026.
Founders treat a name change like a logo swap. They update the website, print new invoices, and hope the bank notices. The state still shows the old string. Stripe still underwrites the old string. Contracts still bind the old string. The mismatch is what creates the second wall: “please explain why your documents do not match.”
At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware. We are not a law firm and not a tax advisor. This guide is educational only. It is not legal advice. Tax treatment of any restructuring is a separate question; talk to a qualified tax professional.
Short answer: File a state amendment to change the legal name on the public record, keep a stamped copy, update the operating agreement if it recites the old name, then walk the same name through your bank, payment processor, contracts, domain WHOIS and public profiles. Do not sell under the new legal name until the amendment is filed.
What a name change is (and is not)
Plain English: a legal name change is an amendment to the public formation document. In Delaware that is a Certificate of Amendment of the Certificate of Formation. In Wyoming that is Articles of Amendment to the Articles of Organization.
It is not a new company. It is not an automatic trademark filing. It is not a DBA. A DBA (trade name) lets you sell under a brand while the legal name stays put. A legal name change rewrites the entity’s official name on the state record. Pick the tool that matches the job.
It also does not, by itself, rewrite every private contract. Counterparties still need notice. Some agreements require consent before you operate under a new name. Read the contracts you care about before you file.
When you actually need a legal name change
Change the legal name when the old string is wrong for banking, fundraising, or court-facing documents: a misspelling, a collision you discovered late, a product line that outgrew the placeholder, or a counterparty that refuses to pay an entity whose name confuses their compliance team.
Keep the legal name and add a trade name when you only need a customer-facing brand. That path is cheaper operationally and leaves the formation certificate alone. If you are unsure, ask which string must appear on the wire, the MSA and the cap table. That string is the legal name.
Delaware: Certificate of Amendment
Delaware’s Division of Corporations publishes a Certificate of Amendment template for LLCs under Section 18-202 of the Delaware LLC Act. The filing states the current name, identifies the article being amended, and sets forth the new text exactly as it should read.
Verified on writing day from Delaware’s LLC amendment instructions and August 2026 fee schedule:
- Filing fee for a domestic LLC amendment: $220 (filing fee plus municipality fee as noted on the fee schedule).
- Certified copy (optional): $50 each.
- Expedite options listed on the fee schedule: $200 same-day, $100 for 24-hour service.
- The document must be signed by an authorised person under Section 18-204. Type or print the signer’s name under the signature so the clerk can read it.
Search the new name on Delaware’s entity search before you pay. The amendment will fail if the new string is not distinguishable. Delaware LLC names still need “Limited Liability Company,” “L.L.C.” or “LLC.”
Wyoming: Articles of Amendment
Wyoming’s Secretary of State publishes an LLC Amendment to Articles of Organization form. Verified on writing day:
- Filing fee: $60 (also reflected on the Business Division fee schedule effective 1 July 2026 for LLC “Amendment/Dissolution/Any Other Filing”).
- Processing: up to 15 business days after receipt for mailed filings; Wyoming statutes do not allow expedited filing on that path.
- Include the new name with a permitted LLC ending from Wyoming’s naming rules.
Confirm availability on wyobiz.wyo.gov before you mail or submit. If you are holding a reserved name, make sure the reservation still covers you when the amendment is processed.
After the state files: the cleanup that actually matters
The stamped amendment is step one. Step two is making every operational surface tell the same story.
Banking. Notify your bank and upload the amendment. Mercury, named here only as an example of a US business bank path, may ask for updated formation documents when company details change. Approval decisions stay with the bank. Expect a review when the legal name on the account no longer matches the certificate.
Payments. Update Stripe (and any other processor) legal-entity fields. Processors underwrite the legal name on the formation document. A storefront brand can differ; the legal entity string should not silently drift.
Operating agreement. If the agreement recites the company name on the cover or in defined terms, amend it so the private record matches the public record. Ownership percentages do not change just because the name changed, but sloppy documents create KYC doubt.
Contracts and invoices. Issue a short notice to key counterparties. Update invoice templates, payment instructions and signature blocks to the new legal name.
Domains, websites and profiles. Align WHOIS, footer legal lines and app-store seller names. Marketing can still emphasise a product brand; the legal line should match the amendment.
On-chain display names. If your OtoCo entity shows a name tied to the filing, treat the state amendment as source of truth and update any dashboard labels or public profiles you control so explorers and counterparties are not reading a stale string. Do not assume every interface auto-syncs the moment the clerk stamps the PDF.
What OtoCo does and does not do here
OtoCo’s public name check helps you test whether a candidate is free in supported jurisdictions before you file. Formation products cover Instant Series and Standalone Delaware and Wyoming LLCs.
Entity rename is not exposed as an OtoCo MCP tool. Treat the legal rename as a state filing you drive with the amendment forms above, then keep your OtoCo document pack and any on-chain labels consistent with the stamped result. Do not wait for a chat assistant to “just rename it” in the registry. The registry is the state’s.
A calm sequence from abroad
- Confirm you need a legal rename rather than a DBA.
- Clear the new name on the official state search (and USPTO if the brand is customer-facing).
- Draft and file the Delaware Certificate of Amendment or Wyoming Articles of Amendment.
- Receive the stamped filing; order a certified copy if a bank asks for one.
- Amend the operating agreement name references.
- Update bank, Stripe, contracts, invoices, domains and public profiles.
- Store old and new documents together so future KYC reviews see the chain.

FAQ
Can I keep using the old name on contracts after filing?
You should stop holding the company out under a retired legal name. Existing contracts may still refer to the old name; keep the amendment with those files and notify counterparties. Ask counsel how to novate or amend high-value agreements.
Is a DBA enough instead of a rename?
Often yes for branding. No if banks, investors or regulators need the legal entity itself to carry the new string. See the DBA guide in this series for trade-name mechanics.
Do I need to dissolve and re-form?
Almost never for a simple rename. Dissolution is a different, heavier path. Amendment is the designed tool.
Will Stripe or my bank auto-detect the change?
No. You push documents. Expect manual review. No provider guarantees approval after a rename.
Does changing the name change ownership?
No. Ownership lives in the operating agreement and membership records. Name and ownership are different levers.

A US LLC rename is paperwork plus hygiene. File the amendment, then make every KYC surface match.
