You do not have an address form problem. You have three different company addresses that do three different jobs, and you just moved countries. Here is the non-resident path for updating a US LLC principal office or mailing address in 2026.
Foreign founders treat “company address” as one field. They paste the registered agent street onto bank forms, then paste a coworking lobby onto the annual report, then wonder why a card never arrives. The slogan becomes “I need a US office.”
That is the wrong wall. You need to untangle which address is which, update only the records that actually hold that address, and keep every underwriter looking at the same story. Moving flats abroad does not automatically rewrite your Wyoming or Delaware filing.
At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware, with registered agent cover and renewals hygiene on supported paths. We are not a law firm and not a tax advisor. This guide is educational only. It is not legal or tax advice. Tax treatment is a separate question; talk to a qualified tax professional.
Short answer: A US LLC usually carries three address types: the registered agent / registered office (legal reachability in the formation state), a principal office (where the company says it directs business), and a mailing or operational address (where people can actually send you mail). Delaware’s Certificate of Formation for an LLC lists the registered office and agent, not a separate principal place of business. Wyoming keeps principal and mailing addresses on its business record and lets you refresh them with an Update Form or through the annual report path. After you move countries, update the state record if it holds a principal or mailing address, then align bank, processor, mailbox, domain WHOIS, contracts, and invoices. Do not swap the registered agent address unless you are actually changing agents.
The three addresses, in plain English
Registered agent / registered office. Plain translate: the street in your formation state where lawsuits and official state papers can be delivered. Every US LLC needs one. It is a legal service address, not your inbox and not proof you live in the US. Changing it is a registered-agent change, which is a different workflow from “I moved flats.” Companion: how to choose a US registered agent as a non-resident.
Principal office. Plain translate: the address the company presents as its main executive office. Wyoming’s LLC Act defines principal office as the principal executive office, whether or not it sits in Wyoming. Banks and processors often treat this as “where the business is based.” It is not automatically the registered agent street.
Mailing / operational address. Plain translate: where you want envelopes to land so a human you control can open, scan, or forward them. For non-residents this is often a virtual business address or virtual mailbox with a real US street format. Companion: US virtual business address for a non-resident LLC.
Keep them separate on a one-page internal map. When a form asks for “business address,” decide which job that form is hiring for before you paste.
What Delaware actually lists on formation
Delaware’s Certificate of Formation for a limited liability company is a short public filing. Under the Delaware Limited Liability Company Act, the certificate must set out the company name and the address of the registered office plus the name and address of the registered agent for service of process. The official formation form mirrors that: registered office street in Delaware, and the registered agent at that address.
It does not ask you to list a separate principal place of business the way some corporate filings do. So if you move from Berlin to Lisbon, you usually do not file a Delaware amendment just to “change HQ.” The public Delaware formation record still points at the registered office.
What you do update after a move:
- Any principal or mailing address you put on bank KYC, payment processors, customer invoices, and contracts.
- Your registered agent instructions so they still know how to reach you when papers arrive.
- Optional internal records: operating agreement schedules, member contact lists, resolution letterheads.
If the registered agent itself changes, that is a different state filing. Do not confuse “new flat abroad” with “new Delaware registered office.”
How Wyoming keeps principal and mailing addresses current
Wyoming’s business record is more address-explicit for day-to-day maintenance. The Secretary of State publishes an Update Form that lets an entity refresh principal address, mailing address, phone, fax, and email. Wyoming’s FAQ states you may use that Update Form to update the principal office address, mailing address, phone, fax, and email on record. The form can be emailed or mailed to the Business Division.
Wyoming also requires an annual report. For LLCs, annual reports are due on the first day of the anniversary month of formation, and the report asks for current information, including the principal office address under the statute that governs annual reports. Treat the annual report as a forced refresh, not the only chance to fix a stale street.
Practical sequence for a Wyoming LLC after you move countries:
- Decide which street is now principal versus mailing. If you use a virtual mailbox for operations, that often belongs in mailing / operational fields, not as a fake “we occupy Suite 400” claim.
- File the Update Form if you need the public record corrected before the next annual report.
- When the annual report window opens, confirm the same addresses again.
- Leave the registered agent alone unless you are replacing the agent.
What to refresh outside the state file
The state record is only one surface. After a move, walk the operational stack:
- Bank and cards. Mercury and other US business banks (approval is always the bank’s decision) match the address on file to mail and KYC. Update the business address inside the bank portal and confirm where cards ship.
- Payment processors. Stripe and similar underwriters dislike sudden address drift that does not match formation docs or website contact blocks.
- Mailbox provider. If you changed virtual mailbox vendors, update every form that still shows the old street.
- Domain, email signatures, invoices, contracts. Consistency beats cleverness. One legal name, one operational street story.
- App stores and directories. Apple organisation enrollment and D-U-N-S records care about matching legal identity and address data. Fix those after the company record is stable.
Do not use the registered agent street as a costume HQ on every form. Agents exist for service of process. Underwriters know the pattern.
A calm remote checklist when you change countries
- Write down the three addresses you will use for the next twelve months.
- Confirm whether your formation state even stores a principal or mailing address on the public LLC record.
- File Wyoming’s Update Form if needed; skip a Delaware “HQ amendment” fantasy if the Certificate of Formation never held that field.
- Tell your registered agent how to reach you now.
- Update bank, processors, mailbox, invoices, and public contact pages in one sitting.
- Store PDFs of every confirmation. Future KYC loves a paper trail.
FAQ
Do I need a Certificate of Amendment to change my mailing address?
Often no. An amendment updates what the certificate itself states. Delaware LLC formation certificates centre on name, registered office, and registered agent. A personal move abroad usually updates operational and KYC records, not the certificate. Wyoming principal and mailing changes commonly go through the Update Form or annual report path rather than Articles of Amendment. If you are changing the legal name or registered agent, that is different.
Can I put my foreign home address as the principal office?
Sometimes forms accept a foreign principal office, because principal office is not the same as the in-state registered office. Whether a specific bank or processor accepts it is their underwriting call. Many non-residents keep a US operational mailing address for mail they must actually receive, while being honest about where executives work.
Is a virtual mailbox the same as changing my registered agent?
No. A virtual mailbox is operational mail. A registered agent is statutory reachability. You typically need both, and you update them through different channels.
What if bank mail still goes to the old address?
Update the bank profile, then confirm the ship-to address for cards and letters. If the old address was the agent’s street, expect delays; agents are not your scanning desk.
Closing
Address hygiene is company hygiene. Separate the registered agent job from the principal-office job from the mailing job, update the state surfaces that actually store those fields, then make every bank and processor form match. OtoCo can keep the Wyoming or Delaware company layer and registered agent cover in one stack while you run operations from anywhere.
