You do not have a branding problem yet. You have a string that must clear a state database before anyone will treat your company as real. Here is the non-resident path for checking US LLC name availability in 2026.
Founders pick a clever product name, buy the .com, then learn the state already has a near-twin on file. Or they clear the state and later discover a federal trademark that blocks the brand they meant to ship under. The wall feels like “the US is closed to foreigners.” It is not. The state is running a distinguishability check on its own records. You can run the same searches from abroad.
At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware, including Instant Series and Standalone paths, with registered agent cover on supported filings. We are not a law firm and not a tax advisor. This guide is educational only. It is not legal advice.
Short answer: Search the official Delaware or Wyoming entity database first, confirm the required “LLC” ending, then check USPTO trademarks, domains and social handles. Reserve the legal name only if you need time before filing. OtoCo’s public name check is a fast first pass across supported jurisdictions; the state’s filing clerk still has the final word.
What “available” actually means
Plain English: the state is not deciding whether your brand is clever. It is deciding whether your proposed legal name is distinguishable on its own records from other entities already reserved, formed or registered there.
Delaware’s LLC Act says the name in the Certificate of Formation must contain “Limited Liability Company,” “L.L.C.” or “LLC,” and must distinguish the company on the Secretary of State’s records from other entities on those records (with limited consent exceptions). Wyoming’s LLC name rules likewise require an approved ending such as “Limited Liability Company,” “LLC,” “L.L.C.,” “Limited Company,” “LC,” “L.C.” and related abbreviations listed on the state’s name-reservation form.
Clearing the state database is not a trademark. It is not a domain. It is not permission to sell under every marketing phrase you invent later. Those are separate layers. Keep them separate or you will optimise the wrong search.
Step 1: Search the official state database
Start where the filing will land.
Delaware. Use the Division of Corporations entity name search at icis.corp.delaware.gov (Entity Search / Name Search). Search the exact string you want and close variants: plurals, “The,” punctuation, and the LLC ending itself. Delaware also offers an online name reservation flow if you need to hold a cleared name.
Wyoming. Use the Wyoming Business Center search at wyobiz.wyo.gov (Filing Search). Search exact and near matches. Wyoming’s Secretary of State forms spell out the permitted LLC endings; if your string lacks one, the filing will fail even if the root looks free.
When you search from abroad, use the official SOS tools, not a random aggregator screenshot. Aggregators lag. The clerk does not.
Step 2: Watch endings, restricted words and near matches
Add the ending the statute requires before you fall in love with a root. “Acme” and “Acme LLC” are different strings to humans; the state still needs the statutory ending on the formation document.
Delaware restricts the word “bank” and variations unless you fit narrow supervised exceptions. If your name implies a regulated activity, expect extra friction or a refusal. When in doubt, drop the regulated word rather than inventing a workaround in the filing.
Near matches matter. If “Northwind Labs LLC” is taken, “Northwind Lab LLC” or “North Wind Labs LLC” may still collide depending on how the clerk reads distinguishability. Search the family of names, not one hero string.
Step 3: Reserve only when you need time
You do not need a reservation to file formation documents the same day the name is free. Reservation is a hold when you need weeks to gather signers, payment or counsel review.
Verified on writing day from official pages:
- Delaware name reservation: $75, effective for 120 days. Transfer and cancellation are also $75. Online reservation is available through the Division of Corporations.
- Wyoming LLC name reservation: $60, for a 120-day period under W.S. 17-29-109. The state’s form notes that a reservation is not required if you are submitting Articles of Organization at the same time. Processing for mailed forms can take up to 15 business days; Wyoming does not offer expedited filing on that path.
Pay the state only when the hold is useful. Otherwise file formation when the live search is clear.
Step 4: Check trademarks, domains and handles
The state clearance is the legal-entity gate. Brand risk lives elsewhere.
USPTO. Search federal trademarks on the USPTO’s trademark search tools before you print packaging or run ads under the same brand. A free state LLC name does not defeat an existing federal mark. Foreign-domiciled applicants who later seek a US trademark generally need a US-licensed attorney under USPTO rules; that is a later project, not a substitute for the clearance search today.
Domains and handles. Buy the .com (or the TLD you will actually use) and claim the social handles that match the public brand. If the legal name must be long for distinguishability, you can still operate day to day under a shorter trade name later, but only after you understand DBA rules in the places you use that brand.
Wallet and product names. Crypto founders often ship a token or app name that differs from the LLC. That is fine if contracts, invoices and bank applications use the legal name consistently. Mixed naming is how KYC reviews stall.
How OtoCo’s name check fits
OtoCo exposes a public name check (including via the public MCP and REST tools) that checks entity name availability across supported jurisdictions such as Delaware and Wyoming. Use it as a fast first pass while you are still brainstorming.
It does not replace the official Delaware or Wyoming search on filing day. Names move. Someone else can file between your notebook sketch and your payment confirmation. Re-run the official search immediately before you submit, and again if OtoCo asks you to confirm the final company name in the formation form after checkout.
For Instant Series and Standalone checkout, you can start without a locked name; the buyer finalises the company name in the formation form. Optional name hints can be availability-checked as a courtesy, then still confirmed later. That design exists because founders change their minds, and because the state’s live database is the source of truth.
A practical sequence that works from abroad
- Draft three legal-name candidates with proper LLC endings.
- Run OtoCo’s public name check to discard obvious collisions.
- Confirm each survivor on the official DE or WY search.
- Run a USPTO search on the brand you will actually market.
- Secure domain and handles.
- File formation (or reserve for 120 days if you truly need the hold).
- Re-check the official search if more than a short gap passes before filing.

Common failure modes
Falling in love with a trademarked brand. State clearance is not brand clearance.
Using only the registered agent’s informal “it should be fine.” Agents help you file. The database is still public. Look yourself.
Skipping the ending. “Acme Holdings” without LLC language fails the statute even when “Acme Holdings LLC” would pass.
Checking once, filing weeks later. Availability is not a souvenir. It is a live condition.
Assuming Instant Series and Standalone share every naming quirk. Both still need a distinguishable legal name on the path you chose. The state’s distinguishability rule does not care which OtoCo product card you clicked.
FAQ
Does a cleared LLC name mean I own the brand worldwide?
No. It means that name can be the legal entity name on that state’s records if your filing is accepted. Trademarks, domains and foreign registries are separate.
Should I reserve every name I like?
No. Reservation costs money and expires (120 days in both Delaware and Wyoming for the LLC name reservation paths above). Reserve when you need a hold. Otherwise file.
Can I check availability without flying to the US?
Yes. Delaware and Wyoming both expose online search tools. OtoCo’s public name check also runs remotely. You still need a registered agent in the formation state when you file.
What if my perfect name is taken?
Change the legal name. Keep the product brand as a trade name only if that path is lawful where you use it, and understand that a DBA is not a liability shield and not a trademark. See our companion guide on DBAs when you publish that workflow.
Does OtoCo guarantee the state will accept the name?
No. The Division of Corporations or Secretary of State decides. We help you check and file; we do not override the clerk.
Closing
Name availability is a database problem dressed up as a branding drama. Search the official state records, respect the LLC ending, glance at trademarks and domains, then file while the name is still free.
