You do not have a mysterious “corporate maintenance” chore. You have a public formation document that no longer matches reality, and a private operating agreement that still does the real governance work. Here is how Certificate of Amendment filings work for US LLCs in 2026, written for founders abroad.
People conflate three papers: the formation certificate the state stamped on day one, the amendment that patches that public record, and the operating agreement that governs members. Mixing them is how you pay a filing fee for a change that belonged in a consent resolution, or worse, skip a public filing the bank will eventually demand.
At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware. We are not a law firm and not a tax advisor. This guide is educational only. It is not legal advice. Tax treatment is a separate question; talk to a qualified tax professional.
Short answer: Use a state amendment when something on the public formation document must change (commonly the legal name, and in some structures other filed particulars). Update the operating agreement for ownership, economics and management rules. Delaware’s domestic LLC amendment filing fee is $220; Wyoming’s LLC amendment filing fee is $60. Expedites exist in Delaware; Wyoming’s mailed path does not offer expedited service.
What an amendment changes
Plain English: the Certificate of Formation (Delaware) or Articles of Organization (Wyoming) is the birth certificate the public and banks can look up. A Certificate of Amendment (Delaware’s term) or Articles of Amendment (Wyoming’s term) is the formal patch to that birth certificate.
Typical public patches include the legal name of the company. Delaware’s LLC amendment template asks you to state the current name, cite the article being amended, and write the new article text exactly. Wyoming’s amendment form updates the Articles of Organization fields you are changing.
What the amendment does not automatically do:
- Change who owns what percentage inside the company.
- Rewrite vesting, drag-along or deadlock clauses.
- Replace your banking resolution or contractor MSAs.
- Prove good standing by itself (good standing is a separate status question tied to ongoing obligations).
If the fact you need to change never appeared on the public formation document, an amendment may be the wrong instrument.
What belongs in the operating agreement instead
Ownership tables, admission of members, transfer restrictions, manager authority, distribution waterfalls and dispute rules usually live in the limited liability company agreement (operating agreement). Delaware’s Act even defines that agreement broadly and makes clear the company can be bound by it whether or not the company itself signed a ceremonial copy.
That is why ownership changes are usually paperwork and consent inside the company, not a new line on the Certificate of Formation. Delaware formation certificates are not a public cap table. Filing an amendment that restates the company name will not notify the world that a co-founder left.
When founders file amendments “to add a member” because a blog told them to, they often spend money without updating the document banks actually ask for: the operating agreement and a current ownership chart.
When you need an amendment
You generally need one when the public filing would otherwise be false or incomplete relative to what the statute requires to appear there. The cleanest non-resident example is a legal name change. Companion post in this series covers rename cleanup after the stamp.
You may also amend if you must correct a formation error that landed on the public record (a misspelled name, a wrong registered-agent particular where the state requires an amendment rather than an agent-only change). Delaware’s fee schedule separately lists a lower-cost “Change of Agent Only” amendment at $50 for domestic or foreign LLCs when that is the sole change. Read the form instructions so you do not pay for the wrong instrument.
You do not need an amendment merely because you:
- Updated invoice templates.
- Moved flats abroad (address hygiene is a different workflow).
- Admitted a member under an operating-agreement process that never touched the public certificate.
- Launched a new product brand under a trade name.
Delaware filing mechanics and fees

- Form family: Certificate of Amendment for Limited Liability Company (template published under LLC Forms).
- Statutory hook referenced on the instructions: Section 18-202 of the Delaware LLC Act; execution by an authorised person under Section 18-204.
- Domestic LLC amendment fee: $220 (schedule notes municipality fee components for domestic LLCs).
- Certified copy: $50 each if you request one.
- Same-day expedite: $200; 24-hour expedite: $100, per the fee schedule columns.
- Include a cover letter with contact details so the Division can reach you. Checks are payable to “Delaware Secretary of State” for paper filings; online paths follow the Division’s current payment rails.
Remote founders usually work through their registered agent or an online filing path the agent supports. The legal act is still a Delaware filing; your passport location does not create a different form.
Wyoming filing mechanics and fees
Source on writing day: Wyoming Secretary of State LLC Amendment form and Business Division Filing Fee Schedule (revised June 2026, effective 1 July 2026).
- Form: Limited Liability Company Amendment to Articles of Organization.
- Filing fee: $60.
- Processing time for mail: up to 15 business days after receipt.
- Expedited filing: not available under Wyoming’s stated rules for that process.
- The company should be in good standing for clean processing; cure any registered-agent or annual-report gaps before you amend for cosmetics.
Search the new particulars on wyobiz.wyo.gov when the amendment includes a name change.
How to file from abroad without drama
- Decide whether the change is public (amendment) or private (operating agreement / resolution).
- Download the current official form from corp.delaware.gov or sos.wyo.gov, not a random template mill.
- Complete every blank the instructions mark as required. Illegible signatures delay Delaware filings; print the name under the wet or uploaded signature block.
- Pay the exact fee and request a certified copy if your bank’s document list usually wants one.
- Store the stamped amendment with the original formation certificate as a single pack.
- Update private records and KYC surfaces that quote the amended field.

Amendment versus restated certificate
Delaware’s fee schedule also lists restated filings for LLCs at the same $220 domestic fee tier as amendments. A restatement is a heavier “replace the narrative” move some companies use when the certificate has been patched enough times that counterparties want one clean reading. Most early-stage name fixes are ordinary amendments. Do not restate for sport.
FAQ
Does an amendment replace my operating agreement?
No. It patches the public formation document. Update the operating agreement separately when governance or ownership language must change.
Do I file an amendment to change ownership percentages?
Usually no for Delaware-style LLCs whose public certificate never listed members. Change the operating agreement and membership records, then refresh bank and processor ownership disclosures.
How fast can Delaware turn an amendment?
Depends on whether you pay for same-day or 24-hour expedite versus standard processing. Confirm current turnaround with the Division when you file; fees above are from the published schedule.
Can Wyoming expedite?
The Wyoming amendment instructions state that statutes do not allow expedited filing; filings process in order received.
Will OtoCo file every amendment type automatically?
Treat amendments as state filings you initiate with correct forms. Use OtoCo for the entity stack and document organisation around that work, not as a substitute for the Secretary of State.
Closing
Amendments are precise instruments. Use them when the public record must change; use the operating agreement when the ownership story must change.
