- Description: You do not have a passport problem. You have an EIN on file whose mailing address or responsible party no longer matches reality. Here is the IRS Form 8822-B path for 2026.

You do not have a passport that blocks IRS mail. You have a US LLC whose Employer Identification Number (EIN) file still shows yesterday’s mailing address, or yesterday’s responsible party. Here is the non-resident path for filing IRS Form 8822-B in 2026.

Foreign founders form a Wyoming or Delaware LLC, get an EIN, then move countries, swap virtual mailboxes, or hand day-to-day control to a co-founder. Banks and Stripe keep asking for “the address on the EIN letter.” The IRS keeps mailing paper to the old line. The slogan becomes “the IRS will figure it out from my next return.”

That is the wrong wall. Form 8822-B is the IRS form for businesses and other entities with an EIN application on file when you change the business mailing address, the business location, or the identity of the responsible party. This guide is educational only. It is not legal or tax advice. Talk to a qualified tax professional for your situation.

> **Short answer:** If your US LLC has an EIN and you changed the business mailing address, business location, or responsible party, use [Form 8822-B](https://www.irs.gov/forms-pubs/about-form-8822-b?ref=blog.otoco.io) to tell the IRS. A responsible-party change must be reported within 60 days. Complete the PDF from [irs.gov](https://www.irs.gov/pub/irs-pdf/f8822b.pdf?ref=blog.otoco.io), sign it, and **mail** it to the IRS address that matches your old business address chart. Foreign address lines are on the form. Do not attach it to a tax return. Processing is generally 4 to 6 weeks.

## What Form 8822-B actually is

Plain English: Form 8822-B, *Change of Address or Responsible Party - Business*, updates the IRS business file behind your EIN.

Per the IRS About page and the form instructions (Rev. December 2019), you use it when you changed:

- business mailing address
- business location
- identity of your responsible party

The instructions also say any entities that change their address or responsible-party identity must file Form 8822-B, whether or not they are engaged in a trade or business. The form header says not to attach it to your return. Individual home-address changes belong on Form 8822, not 8822-B. This post stays on Form 8822-B only.

## Who must file

The IRS About Form 8822-B page frames the form for businesses and other entities with an EIN application on file.

1. **Address or location change.** Use Form 8822-B to notify the IRS of the new business mailing address and/or business location. The form’s Privacy Act notice says use is voluntary for address-only updates, but if you fail to give the IRS your current mailing address or responsible-party identity you may not receive a notice of deficiency or demand for tax, while penalties and interest can still accrue on any tax deficiencies.
2. **Responsible-party change.** Any entity with an EIN must report a change in its responsible party on lines 8 and 9 within **60 days**. The About page, the form instructions, and the IRS “Responsible parties and nominees” page all state that rule. For a responsible-party change, use of the form is mandatory.

If a representative signs for the taxpayer, attach a copy of a power of attorney (Form 2848 is the example on the form). The IRS will not complete a change from an unauthorised third party.

## What counts as a responsible party

Form 8822-B points you to Form SS-4 and its instructions for who can be a responsible party and which identification number goes on line 9.

The IRS “Responsible parties and nominees” page defines a responsible party as someone who owns, controls, or exercises effective control over the entity and directly or indirectly manages its funds and assets. The responsible party must be a person, not an entity, except for government entities.

The Instructions for Form SS-4 add: the person who ultimately owns or controls the entity, or who exercises ultimate effective control, with enough control over (or entitlement to) the funds or assets to control, manage, or direct the entity and the disposition of its funds and assets. Unless the applicant is a government entity, the responsible party must be an individual. Nominees are not responsible parties; the IRS says to correct a nominee listing with Form 8822-B.

For line 9, follow the Form SS-4 instructions the form cites. Ask a qualified tax professional which identifier belongs on your facts.

## The 60-day deadline for a responsible-party change

Confirmed on irs.gov:

- About Form 8822-B: “Changes in responsible parties must be reported to the IRS within 60 days.”
- Form 8822-B instructions: report the change on lines 8 and 9 within 60 days (Regulations section 301.6109-1(d)(2)(ii)).
- Responsible parties and nominees: report changes to responsible party, address, or location on Form 8822-B within 60 days.

If you have not received the IRS confirmation letter within 60 days after filing, that page says to mail a copy of your Form 8822-B and write “Second Request” on it.

## What to include on the form

Download the current PDF from the IRS About Form 8822-B page. Type or print. Check every box the change affects: employment/excise/income and other business returns; employee plan returns; and/or business location. Then complete business name and EIN (4a/4b), old mailing address (5), new mailing address (6), new business location if needed (7), new responsible party name and identifying number when that changed (8/9), and signature, title, and date (10). A daytime telephone number is optional.

Address rules from the instructions: include apartment, room, or suite number; use a P.O. box only if your post office does not deliver to your street address; for a foreign address, follow the country’s practice for the postal code and do not abbreviate the country name; if mail arrives in care of a third party, enter “C/O” plus that party’s name and street address or P.O. box.

Who signs: an officer, owner, general partner or LLC member manager, plan administrator, fiduciary, or an authorised representative. Representatives must attach power of attorney.

## How to file: mail only

On writing day, the IRS Form 8822-B surfaces describe **mailing** the form. The form’s Where To File chart, the [Where to file Form 8822-B](https://www.irs.gov/filing/where-to-file-form-8822-b?ref=blog.otoco.io) page, and the responsible-parties page all point to postal filing. Those pages do not list a fax number or online submit path for Form 8822-B, so this guide does not claim fax or e-file.

Use the chart for your **old** business address. As printed on Form 8822-B (Rev. December 2019), listed eastern / mid-Atlantic / Great Lakes states mail to Internal Revenue Service, Kansas City, MO 64999; listed western / southern / plains states, **or any place outside the United States**, mail to Internal Revenue Service, Ogden, UT 84201-0023.

The separate IRS Where to File table can differ in state grouping and ZIP formatting from the PDF. Before you post, re-check [About Form 8822-B](https://www.irs.gov/forms-pubs/about-form-8822-b?ref=blog.otoco.io) and the Where to File page. If your old business address was outside the United States, use the form chart line for “any place outside the United States.” Do not attach the form to a return.

## How a non-US address is handled

Lines 5, 6, and 7 each include foreign country name, foreign province/county, and foreign postal code. Follow the country’s practice for the postal code and do not abbreviate the country name.

Put the address you want the IRS to use for business correspondence on the new-mailing-address line, complete the foreign fields when needed, and keep that story consistent with banks and processors. A registered-agent street is for state service of process; it is not automatically the right IRS mailing line. ## What happens afterwards

The form instructions say it generally takes **4 to 6 weeks** to process an address or responsible-party change. Keep a complete copy of what you mailed. Watch for the confirmation letter; if nothing arrives within 60 days, mail another copy marked “Second Request.” Update banks, Stripe, vendors, and your document pack separately. Form 8822-B updates the IRS file; it does not rewrite your Certificate of Formation. If home and business addresses both moved, use Form 8822 for home and Form 8822-B for the business file.

Tax treatment and other IRS forms are separate questions. Talk to a qualified tax professional for your situation.

## Common mistakes non-resident founders make

- Using only the registered-agent street and missing IRS letters.
- Changing who controls the LLC and waiting for “next tax year” instead of the 60-day clock.
- Leaving lines 8 and 9 blank after a control change, or listing a nominee as the responsible party.
- Attaching Form 8822-B to a return, against the form header.
- Letting a representative sign without power of attorney.
- Updating the IRS but leaving banks and Stripe on the old mailing line.

## FAQ

### Do I need Form 8822-B if I only changed countries but kept the same US mailbox?

If the business mailing address and business location on the IRS file did not change, Form 8822-B is not an address update. If the responsible party changed, the 60-day filing still applies.

### Can I fax Form 8822-B?

Not according to the IRS Form 8822-B pages checked for this guide. Those pages tell you to mail the form. We are not claiming a fax option.

### What if my old address was outside the United States?

Use the Form 8822-B Where To File chart line for “any place outside the United States,” and re-check the current IRS Where to File page before you post.

### Is this tax advice?

No. This is general education based on public IRS Form 8822-B materials. Talk to a qualified tax professional for your situation.

## Bottom line

Boring. Correct. When the EIN file no longer matches the mailbox or the person who controls the company, file Form 8822-B. Responsible-party changes have a 60-day clock. Complete the PDF, sign it, mail it to the centre that matches your old business address, keep a copy, and wait the usual 4 to 6 weeks. Foreign address fields are on the form.
