You do not have a “which Slack timezone is HQ” problem. You have several humans in different countries who want one US LLC, one ownership story, and one KYC pack that does not contradict itself. Here is the non-resident path for forming a US LLC with co-founders abroad in 2026.

Competitor content often collapses this topic into tax classification theatre. Useful for accountants; useless on formation week. Your first job is legal and operational: who owns what, who can bind the company, who appears on bank forms, and which documents everyone must sign before money moves.

At OtoCo we help non-residents form Instant Series and Standalone LLCs in Wyoming and Delaware. We are not a law firm and not a tax advisor. This guide is educational only. It is not legal or tax advice. Tax treatment is a separate question; talk to a qualified tax professional.

> **Short answer:** Agree percentages and roles in an operating agreement before you file, collect IDs for every owner at or above the 25% beneficial-owner threshold plus a control person, keep names and addresses identical across passports and forms, and decide member-managed versus manager-managed authority on purpose. OtoCo can form the US wrapper; your agreement does the co-founder politics.

## Who should be on the formation paperwork

Decide the initial member list before you click pay on formation. Adding people “later when we have time” is how one founder ends up as sole member on every bank form while three others believe they own the company.

Each initial member should have:

- Legal name exactly as on passport or national ID.
- A residential address they can defend on KYC forms (not a borrowed café).
- An agreed percentage that the schedule will show.
- Clarity on whether they are also a manager or bank control person.

If a founder’s relative is “holding” shares for convenience, stop. Banks want natural persons behind ownership chains, not folklore.

## Percentages, vesting and deadlock

**Percentages.** Write them as numbers that sum to 100%. “We will figure equity after launch” is not a formation plan.

**Vesting.** If someone earns equity over time, say so in the agreement or a side award agreement. Remote teams often skip vesting, then fight when a co-founder ghosts after month two. Vesting is not a US-citizenship concept; it is a contract concept.

**Deadlock.** Two founders at 50/50 with no tie-break is a beautiful way to freeze Stripe admin resets. Options include a rotating chair, an independent manager for deadlocked items, buy-sell mechanisms, or mediation clauses. Pick something boring and written.

**IP assignment.** Code, brand and domain registrations should land in the LLC early. Personal GitHub ownership across four countries is not a culture flex when a buyer or bank asks who owns the product.

## Member-managed versus manager-managed for remote teams

Delaware defaults to member management unless the limited liability company agreement provides for managers (6 Del. C. § 18-402). Wyoming defaults to member-managed unless the articles or operating agreement expressly choose manager management (W.S. 17-29-407).

For co-founders in different countries, manager-managed structures can keep day-to-day authority with one or two people while others remain economic members. Member-managed structures keep authority with the owners, which is simple until ordinary decisions need five time zones and a majority vote.

Whatever you pick, make the bank control person and the Stripe representative match someone who can actually complete video or document checks. Authority on paper that nobody can exercise is how applications rot.

## KYC: the 25% line and the control person

Mercury’s eligibility documentation states that beneficial owners are individuals who own 25% or more directly or indirectly, including through holding companies, and that you must identify a person with significant responsibility for managing operations. Mercury supports multi-member LLCs. Approval is Mercury’s decision, not OtoCo’s and not this blog’s.

Stripe’s verification materials similarly focus on identifying and verifying ultimate beneficial owners with significant ownership or control, commonly discussed around a 25% threshold for many business types, plus representatives who run the account.

Design equity with that disclosure reality in mind. Four founders at 25% means four KYC packages. A 10% advisor may stay off the beneficial-owner list and still need contractual paperwork inside the company.

## Keeping documents consistent across passports

Pick one transliteration of each name and reuse it everywhere: formation forms, operating agreement, bank application, processor application, invoices. If a passport uses a middle name, decide whether that middle name appears in the legal block.

Use one operational US mail address strategy for the company (registered agent for service of process; a virtual business address when you need operational mail you can open). Do not invent a different “HQ” on every form. See our virtual address guide for the RA-versus-mailbox distinction.

Store a shared data room: formation PDF, operating agreement, passport scans the owners are willing to submit, and a one-page ownership chart dated and signed. When a co-founder is offline for a week, the others should still be able to answer underwriting questions without inventing facts.

## How OtoCo fits a multi-founder formation

OtoCo supports Delaware and Wyoming Instant Series and Standalone formation paths for founders online, with registered agent cover on supported products. Pricing on public materials starts from $99/year for Instant Series and $299/year for Standalone; live catalogues can be pulled from OtoCo’s public product tools when you want current figures.

Co-owner invite automation is not something we claim as an MCP tool. Plan on human signatures for the operating agreement and on honest ownership disclosure in the dashboard and third-party applications. The assistant can help you navigate checklists; it does not replace consent.

## A formation-week checklist

1. Agree jurisdiction path you will actually file (OtoCo’s supported Delaware or Wyoming products).
2. Lock the legal name after official availability checks.
3. Draft and sign the operating agreement with schedule, vesting and deadlock clauses.
4. Assign IP into the company.
5. File formation and store the stamped document.
6. Apply to banking and payments with consistent owner data.
7. Calendar a review when any owner’s percentage will cross 25%.

## FAQ

### Can non-US co-founders own a US LLC?

Yes, ownership by foreign individuals is a normal pattern. Banking and processor eligibility still depend on their reviews and restricted-country lists.

### Do all co-founders need to live in the US?

No. They need a coherent company story and whatever identity documents underwriters require.

### Should we form as a Series or Standalone?

Standalone is often easier for counterparties who want a classic registry lookup. Instant Series prioritises speed and onchain-native workflows when counterparties accept series language. Choose based on who must underwrite you next, not on Twitter aesthetics.

### What if one co-founder cannot pass KYC?

Do not pretend they own 0% on bank forms while the agreement says 30%. Fix the equity or pick a different banking path with counsel. Misrepresentation is worse than delay.

### Where do taxes fit?

Tax treatment is a separate question; talk to a qualified tax professional.

Multi-country co-founders succeed when the ownership table, the authority model and the KYC disclosures match. Build that on a real US LLC at <https://otoco.io/?utm%5Fsource=blog&utm%5Fmedium=organic&utm%5Fcampaign=seo&utm%5Fcontent=how-to-form-us-llc-co-founders-different-countries-2026>.
