Founders keep hitting the same wall: “The bank (or Stripe, or the exchange) rejected my LLC pack. Do I need a better bank?”
Often that is the wrong wall. What they asked for was not a prettier screenshot of your Articles. They asked for a Certificate of Good Standing (sometimes called a Certificate of Status): a current state document that says your LLC exists and is Active / in good standing as of the date on the certificate. Without that piece, underwriting stalls even when formation was real years ago.

Short answer: A Certificate of Good Standing is the state’s current proof that your LLC is Active. It is not your Articles of Organization, not your EIN letter, and not a registered-agent receipt. Banks, Stripe, exchanges and counterparties ask for it when they need to underwrite a living company. If you are lapsed, reinstate first, then order the certificate. The wrong wall: bank problem vs proof problem
When a US business bank, Stripe, a crypto exchange, or a counterparty asks for “proof the company is in good standing,” they are not inventing a new product category. They are asking whether the legal person on the application still exists in the state’s eyes — fees paid, annual report current, not dissolved, not forfeited.

But if the blocker is a missing Certificate of Good Standing, swapping processors will not invent one. You need the state certificate (or you need to restore Active status so the state will issue one).
What a Certificate of Good Standing is (and is not)
Plain English: it is a dated certificate from the formation state’s filing office (often the Secretary of State / Division of Corporations) confirming that, as of issuance, the LLC is in good standing / active status under that office’s records.
What it usually shows (wording varies by state):
- Legal name of the LLC
- That the entity is duly formed / exists
- That it is in good standing or Active as of the certificate date
What it is not:
- Not Articles of Organization (or Certificate of Formation). Those prove you formed. They do not prove you stayed current.
- Not a CP 575 / EIN confirmation letter. That is IRS tax-ID evidence, not state standing.
- Not a registered-agent receipt or appointment confirmation. Agent cover is required to keep the company reachable; the certificate is a separate status document. (See how to appoint a US registered agent as a non-resident.)
- Not a tax clearance, banking approval, or Stripe decision. It is one underwriting input.
Certificates also expire in practice even when the paper does not say “expires in 30 days.” Banks and platforms often want a recently issued copy (weeks or a few months old). Order fresh when someone asks.
When banks, Stripe, exchanges and counterparties ask for it
Expect a Certificate of Good Standing (or Certificate of Status) when someone needs to underwrite the company, not just your passport:
- US business banks and fintechs opening or refreshing an LLC account
- Stripe and other payment platforms during business onboarding or periodic review
- Exchanges, brokers and custody when onboarding an entity account
- Investors, acquirers, landlords and enterprise customers running KYB / vendor due diligence
- Foreign registries or counterparties that want proof a US LLC is still alive before they recognise it
If your formation packet is complete but the company missed an annual report, many of those reviews fail the same way: “entity not in good standing.” Fix standing, then ship the certificate.
Wyoming vs Delaware: where founders typically order
Most OtoCo founders form in Wyoming or Delaware. Certificates are ordered from the state that formed the LLC (or where it is registered as a foreign entity, if that is the jurisdiction being asked about). Fees and turnaround change; always confirm on the official site before you pay.
Wyoming
Wyoming’s business portal advertises Certificates of Good Standing online at no cost (print or validate) via the Wyoming Business Center — start at wyobiz.wyo.gov Good Standing Certificates and the broader Wyoming Business Center. That is unusually founder-friendly: if the LLC is Active, you can often pull proof without a courier scavenger hunt. If the portal will not issue because status is not Active, fix annual report / reinstatement first.
Delaware
Delaware’s Division of Corporations publishes certificate options on its Direct Web / certificate pages (see Order a Good Standing Certificate and corporate fees). As of the Division’s published materials, a short-form Certificate of Status is listed at $50, and a long-form Certificate of Good Standing at $175 (long form includes filing history detail). Online “status check” products are not the same as an official certificate. Expedited service, if you need it, is a separate fee schedule on the state’s site — confirm current amounts there rather than trusting a blog screenshot.
Turnaround
Wyoming’s online certificate path is typically immediate once status is Active. Delaware mail / upload requests can take longer; expedited options exist for a fee. Build buffer into banking or Stripe timelines instead of ordering the day before a deadline.
If you lapsed: reinstate first, then order
A Certificate of Good Standing is a snapshot of current status. If the LLC is dissolved, forfeited, or not in good standing for missed annual reports / franchise tax / agent issues, the state will not hand you a clean Active certificate until you cure the problem.
- Check status on the official state business search / portal.
- File what is missing — annual report, franchise tax, registered-agent update, reinstatement packet — per that state’s instructions.
- Wait until status shows Active / good standing.
- Then order the Certificate of Good Standing / Certificate of Status.
Ordering the certificate while you are lapsed does not skip the line. It just burns time.

Can I use my EIN letter instead?
