- Description: A DBA lets your US LLC sell under a brand name. It is not a liability shield and not a trademark. Delaware One Stop and Wyoming trade-name rules for 2026.

You do not need a second LLC every time marketing invents a product name. You might need a DBA: a trade name that tells the public which brand the legal company is using. Here is the non-resident path for US LLC trade names in 2026.

Founders blur four different tools: legal name on the formation certificate, DBA or trade name, federal trademark, and domain. Only one of those creates the entity. Only one of those is a trademark right. Payment processors will still ask for the legal entity behind the brand.

At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware. We are not a law firm and not a tax advisor. This guide is educational only. It is not legal advice.

> **Short answer:** Use a DBA when you sell under a name that is not the LLC’s exact legal name and the place where you use that brand expects a trade-name registration. A DBA does not create limited liability and does not replace a USPTO trademark. Delaware now registers trade names statewide through One Stop ($25 per trade name, with a business licence requirement). Wyoming registers trade names with the Secretary of State ($100, notarised, name already in use, ten-year term).

## What a DBA is

Plain English: “DBA” means “doing business as.” It is a public notice that a person or entity is operating under a name other than its legal name. States and localities may call it a trade name, fictitious name or assumed name.

For an LLC, the legal name remains the name on the Certificate of Formation or Articles of Organization. The DBA is an additional label for storefronts, invoices and ads.

## What a DBA is not

**Not a liability shield.** The LLC already provides the liability structure if you maintain it correctly. Filing a DBA does not create a new entity and does not fix a company you never formed.

**Not a trademark.** Delaware’s Division of Revenue FAQ states plainly that registering a DBA does not confer exclusive rights, does not prevent others from registering the same DBA, and does not establish trademark protection. Wyoming trade-name registration is likewise not a substitute for federal trademark rights. If you need exclusivity, look at USPTO processes (foreign-domiciled applicants generally need US counsel).

**Not a registered agent.** Service of process still goes to your registered agent.

**Not automatic permission on every payment form.** Stripe and banks underwrite the legal entity. You may display a brand; you still disclose the legal name and ownership.

## When you actually need one

You may need a trade-name filing when you invoice or sell under a brand that differs from the legal LLC name and the jurisdiction where you use that brand requires registration for that use. Examples: a Delaware LLC whose legal name is “Northwind Labs LLC” selling as “Northwind.”

You may not need one when every customer-facing string already matches the legal name, or when you are only brainstorming names inside a private repo.

If the legal name itself is wrong, amend the formation document instead of stacking DBAs forever. Companion posts in this series cover name changes and amendments.

## Delaware trade names in 2026

As of 2 February 2026, Delaware moved new trade-name (DBA) registrations from county Prothonotary offices to a statewide registry administered by the Division of Revenue through Delaware One Stop (`onestop.delaware.gov`). Superior Court pages and Division of Revenue FAQs confirm the handoff. Historic Prothonotary registrations remain recognised; optional re-registration into the DOR registry is available.

Verified points from Delaware Division of Revenue and One Stop materials on writing day:

- New DBAs register online via One Stop; notarisation is no longer required for the new online process.
- A Delaware business licence is required in connection with trade-name registration.
- Entities that do not conduct business in Delaware may use a **Trade Name–Only** business licence (stated at $25, with renewal obligations) and, for Delaware LLCs or corporations, a recent Certificate of Good Standing from the Division of Corporations is required for that licence path.
- **Trade-name filing fee:** $25 per trade name (statewide). Optional re-registration of a historic Superior Court DBA into the DOR registry can be without cost when you provide the court file number.
- DBAs themselves do not expire in Delaware under the FAQ, but the underlying business licence (or Trade Name–Only licence) must remain active.
- Public search: Division of Revenue trade name search; One Stop also checks active DBAs during application (a hit does not necessarily block registration, which is another reason DBAs are not trademarks).

Remote founders: gather legal name, ownership names and addresses, formation date, nature of business, and licence details before starting One Stop. If you need the Trade Name–Only path, budget time for the good-standing certificate.

## Wyoming trade names

Wyoming’s Secretary of State publishes an Application for Registration of Trade Name. Verified on writing day from the official form instructions and fee schedule:

- **Filing fee:** $100 (renewal $50 on the Business Division fee schedule).
- Application must be **signed and notarised**.
- The trade name **must already be in use** in Wyoming before registration.
- Entity applicants must be registered and in good standing with the Wyoming Secretary of State.
- Processing: up to 15 business days; no expedited filing.
- **Registration term:** ten (10) years, renewable; renewal may not be filed more than six months before expiration.
- Separate **trade name reservation** exists at $30 if you need a hold before use; that is not the same as registration.

Mail the form with payment to the Secretary of State address on the instructions. Confirm current details on `sos.wyo.gov` before you send.

## How payment processors treat brand names

Processors care that the legal entity is verified. A DBA can appear on customer receipts or storefronts when the provider’s UI allows a “statement descriptor” or public name, but ownership disclosures and formation documents still show the LLC’s legal name.

Keep a one-line map in your data room: Legal name → DBA → domain. When a reviewer asks why the website says “Northwind” while the certificate says “Northwind Labs LLC,” you answer with the trade-name filing and move on.

Never invent a DBA on a bank application that you never registered where registration is required. And never assume a DBA lets you omit beneficial owners.

## OtoCo’s place in the stack

OtoCo forms the LLC (Instant Series or Standalone in Delaware or Wyoming) and helps you keep the company layer organised. Trade-name filings are state or revenue-department processes you complete on the official sites above. Clear the legal name with official searches (and OtoCo’s public name check as a first pass) before you fall in love with a brand that cannot sit on a certificate.

## Practical sequence

1. Confirm the legal LLC name is filed and correct.
2. Decide the exact brand string customers will see.
3. Search trademarks and domains for that brand.
4. Register the trade name through Delaware One Stop or Wyoming’s SOS form as applicable to how you use the name.
5. Update invoices, website footers and processor public-name fields.
6. Store the trade-name confirmation with your formation pack.

## FAQ

### Does a DBA replace forming an LLC?

No. Form the LLC first. The DBA only labels a brand on top.

### Can two companies register the same DBA in Delaware?

Delaware’s FAQ notes that DBA registration does not confer exclusive rights and does not prevent others from registering the same DBA. Treat collisions as a trademark risk analysis, not as a guaranteed exclusive reservation.

### Do I need a DBA in every US state where I have a customer?

Maybe not. Trade-name rules are local to where you are “doing business” under that name. This is not a sales-tax essay; when your footprint grows, ask counsel where registration is required. Do not assume one Wyoming filing covers a California storefront.

### Is Delaware’s old county Prothonotary process still used for new DBAs?

New registrations moved to the Division of Revenue via One Stop as of 2 February 2026\. Historic filings remain recognised.

### Will OtoCo register the DBA for me automatically?

No. Use the official Delaware and Wyoming channels. OtoCo focuses on the LLC layer.

## Closing

A DBA is a public brand notice, not a second company and not a trademark. File it when you truly sell under a different string, keep the legal name consistent on KYC, and form the underlying LLC at <https://otoco.io/?utm%5Fsource=blog&utm%5Fmedium=organic&utm%5Fcampaign=seo&utm%5Fcontent=how-to-get-dba-trade-name-us-llc-non-resident-2026>.
