How to Get an LEI (Legal Entity Identifier) for Your US LLC (2026 Guide)

You do not need an LEI to form a US LLC. You may need one when a broker, exchange or payment partner asks who your legal entity is on the global register.

How to Get an LEI (Legal Entity Identifier) for Your US LLC (2026 Guide)

You do not need an LEI to form a US LLC. You may need one the week a broker, exchange or institutional counterparty refuses to finish onboarding without a Legal Entity Identifier. Here is the 2026 path for getting an LEI for a US company from abroad.

Founders meet the LEI as a surprise field on a form. It looks like another tax ID. It is not. It is a global 20-character identifier for legal entities, maintained in the Global LEI System under GLEIF’s standards, issued by accredited Local Operating Units (LOUs). Formation competitors rarely explain it. That is your opening to do the boring thing correctly once.

At OtoCo we help non-residents form and maintain Wyoming and Delaware LLCs, including Instant Series and Standalone paths. We are not an LEI issuer and not a law firm. This guide is educational. Tax treatment is a separate question; talk to a qualified tax professional.

Short answer: If a regulated counterparty asks for an LEI, get one from a GLEIF-accredited issuer, submit Level 1 “who is who” data that matches your formation documents, renew it on the issuer’s schedule (typically annually), and keep the legal name and addresses consistent everywhere else you onboard.

What an LEI is (and is not)

Plain English: an LEI is a public ID code for a legal entity used in financial markets and by institutions that need a standard way to say “this exact company.”

It is:

  • Issued into the Global LEI System
  • Tied to reference data about the entity
  • Renewable so the record stays current

It is not:

  • A US tax ID
  • Proof of good standing by itself
  • A substitute for your Certificate of Formation
  • Something the Delaware or Wyoming secretary of state hands you at formation

GLEIF describes Level 1 data as business-card information (official name, registered address and related fields): “who is who.” Level 2 data covers relationship information such as direct and ultimate parents where applicable: “who owns whom.”

Who asks for an LEI

You will see LEI requests from:

  • Brokers and trading venues
  • Some banking and payment partners on institutional flows
  • Market-infrastructure or reporting workflows where counterparties must identify legal entities consistently
  • Enterprise vendors that copied institutional onboarding checklists

You will not need an LEI for ordinary US LLC formation. OtoCo formation does not require one. If nobody in your stack asks, you can wait. If a named counterparty blocks onboarding without it, treat it as a dependency like a D-U-N-S number for app stores: optional until it is not.

How to get one from a GLEIF-accredited issuer

Have the stamped formation document, exact legal name (including LLC designator), formation jurisdiction and registered office / principal address story straight. The LEI record should match the company you already filed, not a brand nickname.

2. Pick an accredited LOU (issuer)

GLEIF publishes how to get an LEI / vLEI and how to find accredited issuing organisations. You are not limited to an issuer in your passport country; you use an LOU accredited for the relevant jurisdiction coverage.

Retail prices are set by issuers, not as a single global consumer price list from GLEIF. Expect an initial registration fee and a renewal fee. Shop two accredited issuers if cost matters, but optimise for data accuracy and renewal reminders over saving a few dollars on a code that unblocks a brokerage.

3. Submit reference data

Typical inputs:

  • Official legal name
  • Legal entity type and formation jurisdiction
  • Registered address and headquarters address as the issuer’s form requires
  • Entity identifiers you already have (state file number where useful)
  • Relationship / parent information when Level 2 applies

Non-resident founders should use the same address discipline they use for banks: registered agent for statutory service, operational mailing where you actually receive mail. Do not invent a US “HQ” you do not control.

4. Validate and publish

The LOU validates against local registration authority data where applicable and issues the LEI into the global system. Keep the confirmation PDF and the 20-character code in your company document vault next to the Certificate of Formation.

5. Diary the renewal

LEIs are not lifetime tattoos. Issuers renew on a cycle (commonly yearly). A lapsed LEI becomes an onboarding landmine the next time a counterparty re-checks the register. Put the renewal date next to Wyoming annual report or Delaware franchise-tax reminders you already track. For Delaware and Wyoming calendars, use your existing compliance posts rather than treating LEI renewal as a tax event.

Keep data consistent across the stack

The LEI fails in practice when the string is fine but the reference data disagrees with everything else.

Align:

  • Legal name on Certificate of Formation, operating agreement, bank KYC, Stripe, exchange applications and LEI
  • Addresses (know which line is registered agent vs virtual mailbox)
  • Ownership story if Level 2 parent data applies to your structure

If you rename the LLC later, update the LEI record through your issuer as part of the rename cleanup, alongside bank and processor updates.

OtoCo product boundary

OtoCo forms and maintains the US LLC (Instant Series from $99/year, Standalone from $299/year per public llms.txt). We do not sell LEIs. Once your entity exists, you take the formation pack to an accredited issuer yourself.

FAQ

Is an LEI required to form a Delaware or Wyoming LLC?

No. State formation does not issue or require an LEI. Get one when a counterparty or workflow demands it.

Is an LEI the same as a D-U-N-S number?

No. D-U-N-S is a Dun & Bradstreet business identifier often used by app stores and enterprise vendors. LEI is the Global LEI System identifier used heavily in financial-market entity identification. You might need neither, one, or both.

Can a foreign individual get an LEI in their own name for the LLC?

The LEI identifies the legal entity (the LLC), not your personal passport. You apply for the company through an LOU, as an authorised person for that entity.

How much does an LEI cost?

Accredited issuers set their own retail fees for registration and renewal. GLEIF’s public materials focus on system rules and LOU contributions rather than a single consumer sticker price. Compare current quotes on issuer sites the week you apply.

Do I need a vLEI as well?

A vLEI is a verifiable credential layer that builds on an LEI. Most early-stage LLC founders are asked for the LEI code itself. Add vLEI only if a specific counterparty requires it.

Bottom line

When a broker or institution blocks on an LEI, get one from a GLEIF-accredited issuer, match the legal name to your formation documents, and renew before the record lapses. Form the LLC first if you still need a US wrapper at otoco.io.
