How to Notarize US LLC Documents Online From Outside the US (2026 Guide)

Remote online notarisation explained for non-resident LLC founders: how RON works, Delaware’s rules for signers abroad, and how notarisation connects to apostilles.

How to Notarize US LLC Documents Online From Outside the US (2026 Guide)

You do not need to fly to a US notary’s office for every LLC paper. You need to know when remote online notarisation (RON) is lawful for your document, when a bank will accept it, and when you still need an apostille afterwards.

Non-resident founders receive checklists that say “notarize.” They book a random webcam vendor, sign something, then discover the receiving bank wanted an in-person notary, or an apostille on top, or a notary commissioned in a specific state.

That is the wrong wall. Notarisation is a state-regulated act. RON is allowed in many US states under their own statutes, with identity-proofing and recording rules. Acceptance by private institutions is a second question. International use often adds a third step: apostille or authentication.

At OtoCo we help non-residents form and maintain US LLCs. We are not a notary provider and not a law firm. This guide is educational only. Tax treatment is a separate question; talk to a qualified tax professional.

Short answer: Use a US notary who is lawfully authorised to perform remote notarial acts for a remotely located individual, follow that state’s statutory conditions (Delaware’s rules for signers outside the United States are in 29 Del. C. § 4320), confirm the receiving party accepts RON, then pursue an apostille if the document will be used abroad. What remote online notarisation is (plain English)

Plain translate: a commissioned US notary uses audio-visual technology to identify you and perform a notarial act while you are not in the same room.

Typical RON features:

  • Live video session.
  • Identity proofing (credential analysis and knowledge-based questions, or other statutory methods).
  • An electronic journal and recording retained for a required period.
  • An electronic notarial certificate attached to the document.

RON is not “someone watched me sign on WhatsApp.” If there is no proper notarial certificate from a commissioned officer, you do not have a notarial act.

Why LLC founders hit this step

Common documents that get notarisation requests:

  • Certificates of incumbency.
  • Powers of attorney.
  • Some banking or exchange forms.
  • Affidavits supporting overseas registries or counterparties.
  • Documents destined for apostille.

Formation filings themselves follow state online or paper channels and are a different workflow from notarising a private company certificate.

Delaware’s RON rule for people outside the US

Delaware’s Revised Uniform Law on Notarial Acts includes § 4320, “Notarial act performed for remotely located individual.”

Verified points from that section:

  • A Delaware notarial officer may use communication technology for a remotely located individual if identity, record-confirmation, and audio-visual recording conditions are met.
  • “Outside the United States” is defined geographically in the statute.
  • For a remotely located individual located outside the United States, additional conditions apply: the record must relate to a matter before a US public official/court/governmental entity or other entity subject to US jurisdiction, or involve US-located property or a transaction substantially connected with the United States; and the act must not be prohibited by the foreign state where the individual is located.

If you are abroad and using a Delaware RON notary, those outside-US conditions matter. Do not skip them because a vendor’s marketing page looked casual.

Other US states have their own RON statutes. Cite the commissioning state’s law rather than assuming one national rule. Massachusetts, for example, has its own remote notarisation provisions in state law; always read the statute that governs the notary you actually use.

Will a US bank or registry accept RON?

Sometimes yes, sometimes no.

Private banks, fintechs, and exchanges set acceptance policies that can be stricter than the minimum state law. A desk may demand wet-ink notarisation even when RON would be valid under Delaware law. Ask before you pay for a session:

  • Do you accept remote online notarisation?
  • Which US states’ notaries do you accept?
  • Do you also need an apostille?

State offices and foreign ministries have their own rules for what they will apostille. Confirm with the apostille authority whether a RON-notarised document in the form you hold is acceptable. Delaware’s fee schedule lists apostille fees, but the competent-office practice for a specific notarial form should be confirmed on the current state instructions rather than assumed from a blog.

How notarisation connects to apostilles

Sequence for many cross-border uses:

  1. Sign the underlying company document.
  2. Complete a lawful notarial act (RON or in person).
  3. Request an apostille from the correct authority for that notary’s state, if the destination country requires one under the Hague Convention.
  4. Send the apostilled set to the requester.

Companion pillar: how to get an apostille on US LLC documents.

An apostille authenticates the notary’s authority. It does not magically convert a weak company document into strong evidence.

Practical remote workflow for 2026

  1. Identify the exact document and the receiving institution’s written requirements.
  2. Choose a notary commissioned in a state whose RON law fits your location and document purpose.
  3. Complete identity proofing and the video session.
  4. Download the electronically notarised PDF and store the evidence package.
  5. If needed, order the apostille and budget shipping time.
  6. Keep the notarised set with your LLC minute book or dashboard archive.

If the recipient rejects RON, escalate politely with their written policy and switch to an accepted method rather than arguing statute on a support ticket.

Choosing a RON vendor without fantasy

Ask operational questions:

  • In which state is the notary commissioned?
  • Are they authorised for remote online notarisation under that state’s current rules?
  • Will the certificate clearly show remote appearance?
  • How long are recordings retained?
  • Can the finished PDF be apostilled in that state?

Price is the wrong first filter. Acceptance is the first filter.

Documents that often fail RON expectations

Some recipients still want wet ink for powers of attorney used in real-estate style transactions, or for specific embassy processes. If your use case looks like that, ask early. LLC banking incumbency is more often open to electronic notarisation than property closings, but policies still vary.

Record-keeping for founders abroad

Save:

  • The notarised PDF.
  • Any separate notarial certificate.
  • Session confirmation emails.
  • Apostille when obtained.
  • A note of which requester received which package.

When a second bank asks six months later, you can re-issue or re-notarise rather than reconstructing from memory.

How OtoCo fits

OtoCo helps you form the LLC and organise documents such as incumbency templates where publicly listed. We do not perform notarial acts and we do not guarantee that any bank will accept a particular RON vendor. Your notary and the receiving institution control those outcomes.

FAQ

Can I notarise US LLC documents while living abroad?

Often yes through RON with a US notary authorised for remotely located individuals, subject to that state’s statute and the recipient’s acceptance rules. Delaware § 4320 adds conditions when the signer is outside the United States.

Is RON the same as an apostille?

No. Notarisation is one act. An apostille is a later authentication for international use.

Does every US state allow RON for overseas signers?

No. Rules differ. Read the commissioning state’s statute and the notary’s authorisation rather than relying on a global marketing claim.

Will Mercury or Stripe accept RON on my incumbency certificate?

Ask them. Policies vary by product and risk review. Do not treat state legality as automatic private acceptance.

No. Educational only. For high-stakes filings, confirm requirements with the receiving institution and a qualified attorney.

Bottom line

RON can make US notarisation workable from abroad when the notary’s state law and the recipient both say yes. Delaware’s § 4320 is a concrete example of overseas-signer conditions. Confirm acceptance, then add an apostille only when the destination requires it.
