You do not need a plane ticket to Dover or Cheyenne. You need the right flavour of state paper, ordered remotely, for a counterparty who used a vague phrase like “certified documents.”
Foreign founders hear four overlapping slogans: plain copy, certified copy, certificate of good standing, and apostille. They order the wrong one, wait two weeks, then discover the bank wanted something else.
That is the wrong wall. Start by translating the ask. A certified copy authenticates a filing already on the state record. Good standing speaks to current status. An apostille is an international authentication wrapper for use abroad. This guide stays on certified copies of formation documents and how to order them from outside the US.
At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware, with registered agent cover and renewals hygiene on supported paths. We are not a courier service, not a law firm, and not a tax advisor. This is educational only. Tax treatment is a separate question; talk to a qualified tax professional.
Short answer: Ask the requester whether they need a certified copy of the formation filing, a good-standing certificate, an apostille, or all of the above. Delaware certified copies are on the Division of Corporations fee schedule (including per-document and per-page charges, with expedite tiers). Wyoming accepts mailed certified-copy requests with stated fees and up to 15 business days of processing, and its request form says expedited service is not available for that workflow. Order remotely through the state channels or a filing service that can handle physical delivery. Companion reads: apostille guide and good-standing coverage in the ownership pack. Plain copy vs certified copy vs good standing vs apostille
Keep the jobs separate.
Plain or stamped copy. The filed Certificate of Formation or Articles of Organisation as returned when you formed, or a plain reproduction. Fine for many day-one KYC uploads.
Certified copy. The state certifies that the attached pages are a true copy of a filing in its records. Useful when a bank, embassy desk, or foreign registry wants state authentication of the formation document itself.
Certificate of good standing / existence / status. A separate certificate saying the entity is in good standing (or exists) as of a date. Wyoming currently offers online good-standing certificates at no cost via Wyobiz. Delaware charges for short-form and long-form good standing on its fee schedule. This is not the same product as a certified copy of your formation filing.
Apostille. An authentication for use in another country under the Hague Apostille Convention. You usually need the right underlying state document first, then an apostille request. See the live apostille pillar rather than collapsing both steps here.
If the email only says “certified company documents,” reply with one clarifying question before you pay expedite fees.
What to order for formation evidence
When the requester wants proof the LLC was formed, the usual certified target is:
- Delaware: certified copy of the Certificate of Formation (and amendments if they asked for a full history).
- Wyoming: certified copy of the initial Articles of Organisation (and amendments if requested).
Wyoming’s Certified Copy / Certificate Request Form also offers “initial filing plus all amendments,” specific documents, certificates of organisation/incorporation wording, good standing, and other certificates of evidence. Pick the line that matches the ask.
Delaware: how to order from abroad
Delaware’s Division of Corporations publishes document-upload and certificate-request guidance at corp.delaware.gov, including a Document Filing and Certificate Request Service. Non-residents typically:
- Confirm the exact entity name and file number on Delaware’s records.
- Request a certified copy of the Certificate of Formation (plus amendments if needed).
- Pay the certified-copy fee and any expedite fee.
- Arrange delivery to a US address you control (registered agent, counsel, or mail service) or follow Delaware’s current return instructions for the channel you used.
Fee schedule revised 1 August 2026 (Division of Corporations):
- Certified copies for all entities: $50 per document plus $2 per page for copies.
- Same-day expedite related to certified copies: $60; 24-hour: $50 (expedites apply per file number).
- Priority 1 (1-hour) service: $1,000 per document/request; Priority 2 (2-hour): $500 per document/request.
- LLC formation line also shows a $50 certified-copy column next to the $110 formation filing fee, which matches the common “add a certified copy at formation” path.
Delaware’s Certificate of Formation cover letter likewise notes that a certified copy may be requested for an additional $50 and that expedited services are available per the fee chart.
Do not invent turnaround folklore. Use Delaware’s stated expedite tiers when you need speed, and confirm current processing notes on corp.delaware.gov before you promise a date to a counterparty.
Wyoming: how to order from abroad
Wyoming’s Business Division publishes a Certified Copy / Certificate Request Form (revised February 2024). Key verified points from that form:
- Mail the request and payment to the Wyoming Secretary of State Business Division address on the form. Acceptable payment: check or money order payable to the Wyoming Secretary of State, or a pre-paid (PAD) account. Credit cards are not accepted on that form. PAD users may email the request to the address shown on the form.
- Processing time is up to 15 business days after receipt. The form states expedited service is not available for this request type.
- Fee rule printed on the form: a certified copy of ten pages or less is $10; for more than ten pages, add $5 plus $0.15 per page after ten pages. All certificates are $20.
- For apostille or authentication for use in another country, Wyoming directs you to a separate Apostille/Authentication form.
Wyoming’s broader Business Division fee schedule (effective 1 July 2026) lists Certificate of Existence/Evidence/Good Standing at $20, certifications at $10, and duplicating charges, plus expensive same-day and next-day expedited filing services. For certified-copy mail requests, prefer the dedicated request form’s wording that expedited service is not available.
Practical remote path: complete the form with the exact business name and Filing ID, enclose fees, and include a pre-paid return envelope or ask for email return if the form’s current options allow it. Many non-residents use a US mail handler or their registered agent’s mail process for the physical leg.
Online good standing at no cost via https://wyobiz.wyo.gov is excellent when the desk only needs status. It still is not a certified copy of your articles.
Matching the ask so you do not order twice
Use this translation table in emails:
- “Send your incorporation certificate.” Usually formation filing; ask if certified is required.
- “Certified articles / certificate of formation.” Certified copy of the formation filing.
- “Proof the company is active.” Good standing / existence certificate.
- “For use in [foreign country].” Likely apostille after the right underlying document.
If a foreign bank wants both certified formation papers and an apostille, budget two steps and two clocks.
How OtoCo fits
OtoCo helps you form the LLC and keep documents organised. We do not control Delaware or Wyoming turnaround clocks, and we do not promise that a particular bank will accept a plain copy in place of a certified copy. When a desk escalates to certified paper, use the state channels above.
Build the company layer at https://otoco.io/?utm_source=blog&utm_medium=organic&utm_campaign=seo&utm_content=how-to-order-certified-copy-us-llc-formation-documents-abroad-2026, then order certified copies only when the requester’s job actually needs them.
FAQ
What is a certified copy of a Certificate of Formation?
It is the state’s authenticated copy of the formation filing in its records, not merely your download of a stamped PDF.
Can I order Delaware or Wyoming certified copies from abroad?
Yes. Both states support remote request channels. You still need a workable return path for physical documents when the state mails paper.
How much does a Delaware certified copy cost in 2026?
Per the 1 August 2026 fee schedule: $50 per document plus $2 per page, with separate same-day, 24-hour, and priority expedite fees.
How much does a Wyoming certified copy cost?
Per Wyoming’s Certified Copy / Certificate Request Form: $10 for ten pages or less; above that, add $5 plus $0.15 per page after ten. Certificates are $20. Processing can take up to 15 business days; the form says expedited service is not available.
Do I need an apostille as well?
Only if the foreign recipient needs Hague authentication. A certified copy and an apostille are different products. See the apostille guide.
Is this legal advice?
No. Educational only. For your transaction, ask the requesting institution what document code they need, and talk to a qualified attorney if the stakes are high.
Bottom line
Certified copies are a precision tool: state authentication of a filing you already made. Translate the ask first, then use Delaware’s fee schedule and upload/request channels or Wyoming’s mailed request form. Keep apostilles and good-standing certificates in their own buckets.
