You do not have a mysterious state PDF. You have the public birth certificate of your US LLC, and banks, Stripe, and counterparties keep asking you to prove you can read it.
Foreign founders form a Wyoming or Delaware company, download a stamped Certificate of Formation or Articles of Organisation, then freeze when a reviewer says “upload formation docs.” The reflex is to send every file in the zip and hope something sticks.
That is the wrong wall. The formation certificate is a short public filing. It proves the company exists under a legal name, on a formation date, with a registered agent who can accept service of process. It does not list owners, percentages, or who may sign contracts. Treat it as existence evidence, not an ownership passport.
At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware, with registered agent cover and renewals hygiene on supported paths. We are not a bank, not a CPA, and not a law firm. This guide is educational only. It is not legal advice. Tax treatment is a separate question; talk to a qualified tax professional.
Short answer: Your Certificate of Formation (Delaware) or Articles of Organisation (Wyoming) shows the legal name, registered office or agent, and the state’s filing evidence. It usually does not show members. Banks and Stripe still need this page in the pack, then they ask for ownership and authority docs separately. Keep the stamped file, match the legal name everywhere, and do not invent fields the state never printed. What a certificate of formation actually is
Plain English: it is the state filing that creates the LLC as a separate legal person for contracts and liability walls if you maintain the company correctly.
Delaware calls the document a Certificate of Formation. Wyoming calls the parallel filing Articles of Organisation. Different labels, same job: the registry records that your company exists.
Cornell’s legal encyclopedia and commercial guides describe the same idea. Formation paperwork is the public creation record. Internal governance lives elsewhere, usually in an operating agreement.
Delaware fields, line by line
Delaware’s official Certificate of Formation template (Division of Corporations, revised August 2026) is deliberately short. Under 6 Del. C. § 18-201, the certificate must set forth:
- The name of the limited liability company.
- The address of the registered office in Delaware and the name of the registered agent for service of process.
- Any other matters the members choose to include.
The state form also reminds you that the name must include “Limited Liability Company,” “L.L.C.,” or “LLC,” and that an authorised person signs under § 18-204.
How to read the stamped result:
- Legal name. Copy it character for character, including LLC punctuation. Every later form should match this string.
- Registered office street in Delaware. This is where process can be served in-state. It is not automatically your operating mailbox.
- Registered agent name. The person or company authorised to receive service of process for the LLC.
- Authorised person signature block. Shows who executed the filing. It is not a membership table.
- State filing stamp / “Filed” evidence. Proves Delaware accepted the document. Keep the stamped copy.
Delaware’s formation cover letter (August 2026) states the filing fee is $110 and that you receive a stamped “Filed” copy of the submitted document. A certified copy may be requested for an additional fee (see the companion certified-copy guide). Expedited services exist on Delaware’s fee schedule.
Wyoming fields, line by line
Wyoming’s Articles of Organisation form (current SOS instructions) asks for:
- Name of the limited liability company (with a statutory designator such as LLC or Limited Liability Company under W.S. 17-29-108).
- Optional election to be a close limited liability company.
- Name and physical address of the registered agent in Wyoming (PO Box alone is not enough; a drop box is not acceptable).
- Mailing address of the limited liability company.
- Principal office address.
- Organiser signature and contact details, plus consent to electronic service of process under W.S. 17-28-104(e).
- Registered-agent consent to appointment.
W.S. 17-29-201 requires the name, the street address of the initial registered office, the name of the initial registered agent, and the agent’s written consent. Other statements are optional and are not a statement of authority by themselves.
How to read the filed result:
- Legal name and designator.
- Registered agent and physical Wyoming street.
- Mailing and principal office lines (Wyoming collects these on the form; Delaware’s basic certificate does not).
- Organiser execution and agent consent.
- Filing evidence from the Wyoming Secretary of State.
Wyoming’s fee schedule effective 1 July 2026 lists Articles of Organisation at $100. Online good-standing certificates are available at no cost via Wyobiz; that is a different document from formation articles.
What the certificate does not show
Founders keep projecting wishes onto a one-page filing. The certificate usually does not show:
- Members, managers, or ownership percentages.
- Who may open a bank account or bind the company in day-to-day contracts.
- Your product description, website, or beneficial-owner passport details.
- Proof that your operating agreement is signed.
That is why ownership desks ask for a stack. Companion pillar: how to prove ownership of a US LLC for banks and KYC. Formation proves existence. The operating agreement and related authority pages prove who owns and who may sign.
Standalone versus Instant Series documents
On OtoCo you will see two formation shapes.
Standalone LLC. A classic state filing for your entity. Delaware issues a Certificate of Formation for your company. Wyoming issues Articles of Organisation for your company. Registry lookup points at your filing.
Instant Series LLC. A series under a master LLC structure. You still get company documentation for the series path, but the public story includes series vocabulary rather than a lone classic filing. Counterparties who are new to series language sometimes ask clarifying questions. That is a document-education job, not a reason to invent fields on the master certificate.
Rule of thumb without romance: read whatever stamped state evidence you actually hold, match the legal name everywhere, and keep series language consistent if you chose Instant Series.
How banks and Stripe use this page
Reviewers are not grading typography. They are matching strings.
They want the legal name on the formation document to match the name on your application, operating agreement, and invoices. They want a coherent registered-agent story for the formation state. They want a document that looks like a state filing, not a redesigned Canva poster.
They do not treat the certificate as proof of ownership by itself. Upload it as page one of existence, then attach the ownership pack. Companion: Stripe for a foreign-owned US LLC.
How to read yours in five minutes
- Open the stamped PDF from the state or your formation dashboard.
- Highlight the exact legal name. Paste that string into a notes file you will reuse.
- Confirm the registered agent and registered office match your agent appointment.
- Note the formation or filing date shown on the stamp or acknowledgment.
- Confirm what is absent: owners, units, banking authority. Plan the operating agreement accordingly.
- Store a plain copy and, when a desk asks, order a certified copy rather than reprinting a screenshot.
If a reviewer says the document is “incomplete,” ask which job they mean: existence, ownership, or authority. Completeness depends on the job.
Common mistakes non-residents make
- Treating the registered-agent street as the whole company story.
- “Fixing” the legal name on later forms because a brand name looks prettier.
- Sending an unstamped draft instead of the filed evidence.
- Assuming Wyoming mailing and principal-office lines are optional decorations. They are on the form for a reason.
- Expecting the certificate to list members because a bank checklist said “ownership docs.”

FAQ
What is a Certificate of Formation for an LLC?
It is the Delaware state filing that creates the LLC. Wyoming’s parallel document is usually called Articles of Organisation. Both are public creation records.
Does my Certificate of Formation list the owners?
Generally no. Delaware’s statutory minimum is name plus registered office and agent. Ownership usually lives in the operating agreement.
Is a stamped “Filed” copy enough for banking?
It is the right existence page. Most desks still want ownership and authority documents as well.
What is the difference between a plain copy and a certified copy?
A plain stamped copy shows what was filed. A certified copy is the state’s authenticated reproduction of a filing. Some foreign counterparties ask for certified copies or apostilles. See the certified-copy guide in this series.
Instant Series or Standalone: which document do I read?
Read the formation evidence issued for your path. Standalone centres on your entity’s certificate or articles. Instant Series includes series documentation tied to a master LLC structure. Keep the names consistent either way.
Is this legal advice?
No. OtoCo is not a law firm. This guide is educational. For advice on your facts, talk to a qualified attorney. Tax treatment is a separate question; talk to a qualified tax professional.
Bottom line
Your formation certificate is a short public proof that the LLC exists under a precise legal name with an in-state registered agent. Read those lines carefully, stop asking the page to prove ownership, and build the rest of the pack on matching strings.
