You do not need a fountain pen ceremony in Wilmington. You need a signature block that makes clear the LLC is the party, and that you are signing as its authorised representative.

Non-resident founders sign vendor contracts, contractor agreements, and bank forms from cafes abroad. The common failure mode is signing personally without a capacity line, then wondering why the counterparty treats the human as the obligor.

That is the wrong wall. Authority comes first from the operating agreement and any resolutions. The signature block then shows the world you acted for the company. Electronic signatures are widely usable for many business contracts when the US federal E-SIGN Act and state Uniform Electronic Transactions Act (UETA) rules apply, but they do not invent authority you never had.

At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware. We are not a law firm. This guide is educational only. Tax treatment is a separate question; talk to a qualified tax professional.

> **Short answer:** Confirm you have authority under the operating agreement, then sign with the LLC’s legal name on the party line and a capacity line such as “Manager” or “Member.” Prefer e-signature platforms that keep an audit trail. Keep personal guarantees separate and explicit if you ever agree to one. ## Why signature form protects the liability shield

Plain English: the LLC is supposed to be the contracting person. If you sign in a way that looks purely personal, counterparties and courts may argue you bound yourself as an individual.

A clean block does three jobs:

1. Names the LLC as the party.
2. Shows your representative capacity.
3. Avoids accidental personal guarantees unless you intend one.

Nolo-style contract guidance has long stressed proper signatures for entities. The details vary by document, but the principle is stable.

## Who has authority

Read the operating agreement before you sign anything material.

Member-managed LLC. Members generally have authority to bind the company in the ordinary course unless the agreement narrows it.

Manager-managed LLC. Managers bind the company; members may not, unless the agreement says otherwise.

Special limits. Some agreements require member consent for large contracts, loans, or asset sales. A signature without that consent can be an internal breach even if a counterparty still tries to enforce the deal.

If you are unsure, pass a short written consent or resolution before the signature ceremony. That is cheaper than litigation folklore.

## A signature block that usually works

Use something in this shape:

Acme Remote LLC By: \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ Name: Alice Example Title: Manager Date: \_\_\_\_\_\_\_\_

Or for a member-managed company:

Acme Remote LLC By: \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ Name: Alice Example Title: Member Date: \_\_\_\_\_\_\_\_

Tips:

- Use the exact legal name from the Certificate of Formation or Articles of Organisation.
- Prefer “Manager” or “Member” over invented corporate titles like “CEO” unless your agreement actually creates officers.
- If someone signs under a power of attorney, say so and keep the POA with the file. OtoCo’s public legal templates include a Power of Attorney document filename; using it correctly is still a legal judgment call.

## Personal guarantees: keep them visible

Sometimes a landlord or lender wants a personal guarantee. That is a separate promise by the human.

If you agree, put it in its own labelled guarantee section or document. Do not hide a guarantee inside a casual signature. If you do not agree, do not sign spare guarantee pages “because the PDF looked standard.”

## Electronic signatures from abroad

Two US legal layers matter for many commercial contracts:

Federal E-SIGN Act. The Electronic Signatures in Global and National Commerce Act generally provides that a signature or contract may not be denied legal effect solely because it is electronic, subject to exceptions and consumer-consent rules for certain contexts.

State UETA. Delaware has enacted the Uniform Electronic Transactions Act (6 Del. C. Chapter 12A). Wyoming has also enacted UETA (W.S. 40-21-101 and following). UETA supports electronic signatures and records when the parties agree to conduct the transaction electronically.

Practical founder habits:

- Use a reputable e-sign platform that captures who signed, when, and on what document hash or certificate.
- Ensure the signer identity matches the authorised person.
- Store the completed certificate with the contract PDF.
- Do not assume every government filing accepts the same e-sign tools. State formation filings follow state channels. Private commercial contracts are the main win for remote e-sign.

## Blockchain and smart-contract signatures

Founders sometimes ask whether a wallet signature automatically binds the LLC under Delaware or Wyoming law.

Do not treat a raw wallet pop-up as a complete substitute for company authority analysis. Even where a state recognises blockchain records or electronic transactions in general, you still need a path from “this key signed” to “this key was authorised for this LLC under the operating agreement.” If your product path uses onchain company controls, document that link in human-readable governance papers too.

We are not claiming that every smart-contract interaction is automatically an LLC signature under all counterparties’ policies. When the stakes are high, ask counsel.

## Common mistakes non-residents make

- Signing only a personal name with no LLC party line.
- Using a brand name that is not the legal name.
- Letting a contractor sign as “founder” with no authority trail.
- Mixing personal and company obligations on one undated email thread.
- Assuming Stripe or bank acceptance of e-sign for KYC uploads means every overseas registry will accept the same file.

## Email “signatures” are not contract signatures

A footer that says “Alice, Founder” does not bind the LLC to a vendor quote. When a deal matters, move to a document with a proper party block and an intentional signature process.

Likewise, a chat message saying “looks good” may or may not form a contract under applicable law. Do not run enterprise risk on chat folklore. Use contracts.

## Invoices and proposals

Put the LLC legal name on invoices and proposals. If you invoice as a personal name while contracting as an LLC, you teach counterparties the wrong pattern. Brand names can appear as “doing business as” only when you actually maintain that trade-name compliance where required. A brand on a website is not automatic authority to omit the legal name on a signature block.

## When counsel should review before you sign

Seek a lawyer when the contract includes personal guarantees, unusual indemnities, IP assignments that strip the company, exclusivity that blocks your product, or governing-law and dispute terms you do not understand. Signature formalities will not save a bad deal. They only make clear who is on the hook.

## How OtoCo fits

OtoCo helps you form the LLC and keep documents organised, including public templates such as contractor and power-of-attorney filenames where listed. We do not review every commercial contract you sign, and we do not supply legal opinions on signature validity.

## FAQ

### How should I sign as an LLC?

Sign the LLC’s legal name as the party, then add your name and capacity (Member or Manager) on a “By” line.

### Can I e-sign from outside the US?

Often yes for commercial contracts, subject to E-SIGN, Delaware or Wyoming UETA, the contract’s own terms, and the counterparty’s process. Confirm any document that must be notarised or filed with a government office.

### Does a manager title on LinkedIn create authority?

No. Authority comes from the operating agreement and any appointments it recognises.

### What if I accidentally signed personally?

Stop and fix forward-looking documents. For the signed one, talk to a lawyer about amendment, ratification, or risk. Do not rely on blog folklore.

### Is this legal advice?

No. Educational only. For material contracts, have a qualified attorney review authority and signature formalities.

## Bottom line

Authority first, then a clean LLC signature block, then an e-sign trail you can archive. That sequence protects the separation you formed the company to create.
