- Description: What an LLC banking resolution is, when Mercury or another bank asks for one, and what to include so authority matches your operating agreement.

You do not need a board of directors theatre production. You need a short written decision that says who may open and run the LLC’s bank relationship.

Banks and some exchanges ask for a “banking resolution” or “member resolution.” Solo foreign founders stare at the checklist because their LLC has one member and no corporate secretary cosplay.

That is the wrong wall. A resolution is simply a recorded decision of the members or managers. For banking, it usually names the institution type of relationship, the people authorised to act, and any limits you want on the record. Mercury is one example of a US business banking brand founders consider for a foreign-owned US LLC; approval is always Mercury’s decision, not ours.

At OtoCo we help non-residents form and maintain US LLCs in Wyoming and Delaware. We are not a bank and we do not promise account approval. This guide is educational only. Tax treatment is a separate question; talk to a qualified tax professional.

> **Short answer:** Draft a dated resolution that identifies the LLC, states that the members or managers authorise opening and maintaining a business account, names the authorised signers, and is signed by someone with authority under the operating agreement. Keep names identical to your ownership pack. Use it when a desk asks, not as a substitute for the operating agreement. ## What a resolution is (plain English)

Plain translate: a resolution is a written decision by the people who control the company under its governance documents.

Corporations often use board resolutions. LLCs usually use member or manager resolutions, depending on whether the company is member-managed or manager-managed. The operating agreement tells you which body decides.

A banking resolution is that decision aimed at a bank onboarding file.

## When a bank asks for one

Common triggers:

- Multi-member LLCs where the signer is not obvious.
- Manager-managed LLCs where the manager must be named explicitly.
- Foreign-owned companies where the desk wants a one-page authority letter in addition to the operating agreement.
- Later changes: adding a signer, removing a signer, or switching who may wire.

Single-member LLCs sometimes still receive the ask. If so, the member can resolve to authorise themselves. It feels redundant. It is still a clean one-pager for the file.

Mercury and similar business-account providers typically care that your legal name, ownership story, and signing authority match. A resolution helps the authority match. It does not replace formation documents or the operating agreement. Companion reads: [Mercury for a foreign-owned US LLC](https://blog.otoco.io/mercury-business-account-foreign-owned-us-llc-2026/) and [prove ownership for banks and KYC](https://blog.otoco.io/prove-us-llc-ownership-banks-kyc-2026/).

## What to include

Keep it short and specific:

1. Exact LLC legal name and formation state.
2. Date of the resolution.
3. Recitals in plain language: the LLC wants to open or maintain a business deposit account.
4. Operative language: who is authorised to open the account, execute account documents, make deposits and withdrawals, and give instructions.
5. Optional limits: dual control for wires above a threshold, or naming a primary and secondary signer.
6. Signature blocks for the approving members or managers, with titles that match the operating agreement.
7. Optional secretary-style certification block only if your agreement uses that pattern. Do not invent corporate offices you never created.

You do not need to recite banking product marketing. You need authority.

## Who signs, and in what capacity

Sign in the capacity the operating agreement recognises.

Examples in plain English:

- “Alice Example, Member”
- “Alice Example, Manager”
- “Bob Example, Member, authorising Alice Example as authorised signer”

If multiple members must consent to banking authority, collect the signatures your agreement requires before you upload.

## How it fits next to other documents

Think in layers:

- Certificate of Formation / Articles of Organisation: existence.
- Operating agreement: ownership and baseline authority.
- Banking resolution: focused authority for the account file.
- Incumbency certificate: broader role snapshot some foreign desks want.
- Personal IDs: who the humans are.

Do not let the resolution invent a 40% owner who is absent from the operating agreement. Desks compare pages.

## Practical drafting tips for non-residents

- Reuse the legal name from the formation document with no brand nicknames.
- Date the resolution near the application date if the desk wants freshness.
- Export a clean PDF, not a screenshot of a notes app.
- If you change signers later, pass a new resolution and keep the old one in the archive.
- If the bank sends its own resolution template, prefer the bank’s form and fill it truthfully.

## What OtoCo templates do and do not cover

OtoCo’s public legal-templates list currently includes a Certificate of Incumbency template and several other documents. It does not presently list a dedicated banking-resolution filename in that public list. You can still draft a short resolution from your operating agreement, or use a bank-provided form. Do not claim a template exists where the public list does not show one.

## Example clauses in plain English

You can phrase operative language like this (adapt to your facts and agreement):

“Resolved, that the Company is authorised to open and maintain one or more business deposit accounts with a US financial institution selected by the authorised signer.”

“Resolved, that Alice Example, Manager, is authorised to execute all account opening documents, designate additional users where the institution allows, and give instructions regarding deposits, withdrawals, and account maintenance.”

“Resolved, that any prior inconsistent banking authority is superseded as of the date of this resolution.”

Keep rhetoric out. The desk wants names and powers.

## Multi-member consent patterns

If your operating agreement requires unanimous member consent for banking authority, the resolution should show all required signatures or attach a written consent. Uploading a resolution signed by one member while the agreement demands all members is a classic mismatch.

If only managers may bind the company, members should not sign “as members” pretending to be managers. Capacity lines matter as much as ink.

## After the account is open

Store the resolution with the approval email or dashboard confirmation. When staff change, pass a replacement resolution before you remove someone’s login in a panic. Banks often need the authority document before they process signer changes.

If you maintain accounts at more than one institution, either keep a generic resolution plus institution-specific forms, or pass separate resolutions. Consistency still beats cleverness.

## How OtoCo fits

OtoCo helps you form the LLC, keep registered agent cover on supported paths, and organise documents. We may support an online path toward a Mercury application where offered, but Mercury decides approval. No bank outcome is guaranteed.

## FAQ

### What is an LLC banking resolution?

A written member or manager decision authorising people to open and operate a bank account for the LLC.

### Does a single-member LLC still need one?

Only when the bank asks. Many single-member files clear with a strong operating agreement alone. Some desks still want the one-pager.

### Is a resolution enough to prove ownership?

No. It supports signing authority. Ownership still needs the operating agreement or membership schedule.

### Will Mercury accept my homemade resolution?

Mercury (and any bank) applies its own checklist. A clear resolution that matches your other docs helps. Approval remains Mercury’s decision.

### Is this legal advice?

No. Educational only. For complex multi-signer structures, have counsel align the resolution with the operating agreement.

## Bottom line

A banking resolution is a narrow, dated authority record. Write it so humans and reviewers can see who may act for the LLC, keep it consistent with the operating agreement, and use bank templates when offered.
