You do not need Coinbase to form a US LLC. You may need a Coinbase Business account when the company itself must trade, convert or custody crypto under a business KYB file. Here is the 2026 path for a foreign-owned US LLC.
This is not a bank-account guide. Coinbase Business is an exchange product for eligible company types. Our live banking guide covers banks; this one covers exchange onboarding. Approval is always Coinbase’s decision. Nobody serious promises you a green check in a blog post.
At OtoCo we form onchain US LLCs for non-resident founders (Wyoming and Delaware Instant Series and Standalone paths) and help you assemble a document pack banks and processors recognise. We do not approve Coinbase applications and we are not Coinbase. Tax treatment is a separate question; talk to a qualified tax professional.
Short answer: Confirm your LLC type is in Coinbase Business’s availability list, prepare formation documents, a member/ownership register, and government IDs for every 25%+ owner plus a control person, keep addresses consistent, apply with a fresh business email, and wait for KYB. Do not treat the registered agent street as a fake HQ.
What Coinbase Business is
Plain English: a business account at Coinbase for a company, with KYB on the entity and KYC on the humans who own or control it.
Per Coinbase’s public help materials (re-check help.coinbase.com on the day you apply):
- Coinbase Business is currently available to C Corporations and LLCs based in the US and Singapore, with additional countries coming soon
- There are no fees to apply (per their business overview help article)
- Use an email address not linked to existing Coinbase accounts, balances or payment methods
- Verification covers the business (legal name, address, industry, formation documents) and individuals (photo ID for each 25%+ owner and at least one control person)
If your “company” is still only a Discord server, form the LLC first. If your LLC is formed outside the US, you are outside this article’s fact pattern. This guide assumes a US LLC with one or more non-US owners.
Documents to gather before you click apply
Coinbase’s LLC / limited company onboarding materials ask for a familiar institutional pack. Exact uploads can vary by contracting entity and product, so treat this as a preparation list and follow the live application checklist:
- Formation document. Certificate of Formation (Delaware) or Articles of Organization (Wyoming), stamped. This is the birth certificate underwriters want.
- Ownership / members register. A record that shows who owns the LLC and at what percentage. Operating agreement schedules and a clean cap table style register both appear in real applications. If ownership is indirect, be ready to show ultimate individuals at the 25% threshold.
- Control person. At least one individual who can bind or manage the company (for example a managing member). Have their ID ready even if they own less than 25%.
- Government-issued photo ID for each in-scope individual (passport pages are the usual non-resident path).
- Source-of-funds style evidence when asked (recent bank or brokerage statements, or other documents Coinbase lists for your flow).
- Tax forms inside their application. Complete what Coinbase presents in-product. Do not improvise tax forms from forum screenshots. Tax treatment remains a separate question for your advisor.
Institutional LLC checklists also mention directors registers where that concept applies. Many US LLCs are member-managed without a corporate-style board; provide the closest accurate governance record (managers/members) rather than inventing directors you do not have.
Address and name consistency (where non-residents fail)
Underwriters pattern-match mismatches.
Align these strings before you upload:
- Legal name including LLC designator
- Formation state and file number
- Registered agent address vs operational / mailing address
- Addresses on IDs vs addresses on the application (explain residency abroad honestly)
Registered agent addresses exist for service of process. They are poor “principal place of business” cosplay when thousands of entities share the same lobby. If you need operational US mail, use a virtual mailbox you control: US virtual business address guide.
If you are still opening a US bank for the same LLC, keep one document vault for both. Banking depth: US business bank account for a crypto company and the broader non-resident banking series. Mercury, where named as a bank example, decides its own approvals.
Application flow without folklore
- 1. Confirm eligibility. US LLC (or other listed types) in a supported country footprint.
- 2. Create the business signup with a clean email.
- 3. Enter business details that match the formation document exactly.
- 4. Upload the document pack and complete individual verifications for owners and control persons.
- 5. Answer follow-ups. Manual review is normal for foreign ownership. Speed comes from consistency, not from opening three tickets with three different address stories.
- 6. Only then move funds. Do not pre-announce deposit addresses to counterparties before the account is active.
What this account is for (and not for)
Use Coinbase Business when the LLC needs exchange rails: converting assets, trading pairs your product requires, or holding balances under the company’s KYB profile.
Do not use it as:
- A substitute for Stripe customer checkout (see stablecoin payments guide)
- A substitute for a business bank account when vendors demand ACH
- Proof that personal Coinbase accounts are “close enough” for company funds (they are not)
Treasury that sits long-term in crypto should still follow multisig discipline: multisig treasury for a US LLC.
How OtoCo fits
OtoCo helps you form the US LLC and keep formation documents and renewals in one place. Instant Series starts from $99/year and Standalone from $299/year on public pricing (llms.txt). We do not submit Coinbase KYB for you as a white-glove service claim, and we cannot guarantee approval.

FAQ
Can non-US owners of a US LLC apply?
Coinbase Business focuses on eligible entity types based in the US (and Singapore). Foreign ownership of a US LLC is a common fact pattern; expect full ID checks on 25%+ owners and a control person. Eligibility and approval remain Coinbase’s rules and decision.
Is Coinbase Business a bank?
No. It is an exchange business account. You may still need a US business bank for ACH vendors and payroll-like flows.
Do I need an LEI for Coinbase Business?
Not as a general public requirement called out in the basic business overview. If your specific onboarding flow asks for an LEI, follow how to get an LEI.
Can I use my personal Coinbase account for LLC funds?
Keep company funds in company accounts. Mixing personal and LLC wallets muddies liability and makes KYB harder the day you finally open a business account.
What if my application is rejected?
Fix the mismatch Coinbase cites (documents, ownership clarity, unsupported activity) before reapplying. Do not open parallel applications with contradictory data. OtoCo cannot override Coinbase’s decision.
Bottom line
Prepare a clean US LLC document pack, verify owners and control persons, keep addresses honest, and apply to Coinbase Business only when you need exchange rails for the company. Approval is Coinbase’s. Build the legal wrapper at otoco.io.
